Common use of Preservation of Liability Clause in Contracts

Preservation of Liability. 5.1 Rights given to us under this clause and your liabilities under it are not affected by any act or omission by us or anything else that might otherwise affect them under law or otherwise, including: a. any inaccuracy, insufficiency, forgery or alteration in any certificate, bank guarantee or other document which purports to be made, issued or delivered under this facility agreement or under any bank guarantee; b. the fact that we release you (or another person) or give you or them a concession, such as more time to pay, or compound or compromise with them (whether or not an additional burden is imposed at the same time); c. laches, acquiescence, delay, acts, omissions or mistakes on our part or the part of another person; or d. the fact that the obligations of any person other than you may not be enforceable.
