Prevailing Agreement. The provisions of this Shareholders’ Agreement shall prevail over any contradictory provision of the Corporate by-laws or regulations. Therefore, in case of doubt on the application, scope or interpretation of any clause of the by-laws or regulations, the provisions established in this Shareholders’ Agreement shall apply in every case. None of the Parties may invoke the provisions of the by-laws or regulations to breach or fail to comply with the provisions established in this Shareholders’ Agreement.
