All “significant acquisition(s)” or acquisitions otherwise material to the Corporation that have been completed by the Corporation or the Subsidiaries (and to the best of the Corporation’s knowledge, the Joint Venture Entity) have been fully and properly disclosed in the Public Record, were completed in material compliance with all applicable corporate and Securities Laws and all material corporate and regulatory approvals, consents, authorizations, registrations, and filings required in connection therewith were obtained and complied with.
