Pricing Accuracy. Carnival attempts to ensure the accuracy of the pricing reflected in its system and the systems of approved distribution channels. However, in the event of a pricing error or omission due to an electronic error, typographical error, human error or any other error causing the pricing listed, quoted or advertised in an amount not intended by Carnival, Carnival reserves the right to cancel or adjust the pricing of any reservation that is impacted by the error. In the event Carnival cancels such a reservation, a full refund will be made and cancellation penalties will not apply, unless an alternate resolution is required by applicable law, but in no event shall Carnival be obligated to honour any such booking resulting from the error or otherwise be liable in such circumstances.

Pricing Accuracy. Licensor will exercise reasonable commercial efforts to ensure that, within the functionality described in the Specifications, the Licensed Software will perform pricing calculations in accordance with Airline Tariff Publishing Company ("ATPCO") rules and other applicable rules (i.e., rules relating to taxes) as in effect from time to time. For the purposes hereof, the Licensed Software shall be deemed to have performed a pricing calculation correctly if it is within $[***] (per passenger) of the correct price. In the event the parties are unable to agree as to whether the Licensed Software has performed a pricing calculation (i.e., applied ATPCO rules) correctly, the parties will seek the interpretation of the airline whose fare calculation is disputed and the interpretation of such airline with respect thereto shall be conclusive. The parties will work together to identify and investigate pricing errors and to determine the priority with which such errors should be addressed by Licensor (including cases in which errors need not be addressed because of the infrequency with which they arise). Pricing errors will be responded to and resolved by the Licensor in accordance with the Severity Levels described in Section 2.3; provided, that any pricing error will be considered as Severity 4 unless it varies from the correct price by more than $[***] and affects more than [***]% of queries to the Licensed Software, in which event it will be considered as Severity 3.

  • Data Accuracy The Custodian has no responsibility for, or duty to review, verify or otherwise perform any investigation as to the completeness, accuracy or sufficiency of, any data or information provided by or on behalf of the Client, any persons authorized by the Client, any Third Party Agent, any Market Participant or any Authorized Data Sources, except to the extent the Custodian has agreed in writing to perform reconciliations, variance or tolerance checks or other specific forms of data review under this Agreement.

  • Preserve Accuracy of Representations and Warranties Each party hereto will refrain from taking any action which would render any of its representations and warranties contained in this Agreement untrue, inaccurate or misleading as of Closing and the Effective Time. Through Closing, each party will promptly notify the other parties of any lawsuit, claim, audit, investigation, administrative action or other proceeding asserted or commenced against such party that may involve or relate in any way to another party to this Agreement. Each party hereto will promptly notify the other parties of any facts or circumstances that come to its attention and that cause, or through the passage of time may cause, any of a party's representations, warranties or covenants to be untrue or misleading at any time from the date hereof through Closing.
