Common use of Pricing and Fees Clause in Contracts

Pricing and Fees. BBDC will provide the Products to IR's consumers on a net-billed or cost-plus basis, plus adjustable fees for fulfillment, shipping (if not billed directly to IR), handling, packing of collateral items and other services, each on a per-Order basis. The parties acknowledge and agree that pricing for the Products has been set in advance, is consistent with fair market value in an arms-length transaction, and has not been determined in a manner that takes into account the volume or value of any referrals or business otherwise generated between the parties.
