Principle of Construction Sample Clauses

The Principle of Construction clause defines how the terms and language of a contract should be interpreted by the parties and, if necessary, by a court. Typically, it sets out rules such as giving words their ordinary meaning, resolving ambiguities against the drafter, or clarifying that headings are for convenience only and do not affect interpretation. This clause ensures that any uncertainties or disputes over the meaning of contract provisions are addressed in a consistent and predictable manner, thereby reducing the risk of misunderstandings and litigation.
