Common use of PRIOR CONTRACTS SUPERSEDED Clause in Contracts

PRIOR CONTRACTS SUPERSEDED. This Escrow Agreement constitutes the sole agreement of the Parties hereto with respect to the subject matter set forth herein and supersedes any prior understandings or written or oral contracts between the Parties respecting such subject matter and no other agreement entered into between the other Parties or either of them with any other person or entity, including, without limitation, the Second ARCA, shall be considered as adopted or binding, in whole or in part, upon the Escrow Agent notwithstanding that any such other agreement may be deposited with the Escrow Agent or the Escrow Agent may have knowledge thereof.
