Common use of Prior to Conveyance Clause in Contracts

Prior to Conveyance. If, prior to Seller’s conveyance of the Property, Buyer assigns or attempts to assign this Agreement or any rights hereunder or fails to pay the Purchase Price and take title to the Property upon Seller’s offer of conveyance, the Seller may, at its option, terminate this Agreement and retain any fees submitted by Buyer as liquidated damages.
