Common use of Prior to Conveyance Clause in Contracts

Prior to Conveyance. If, prior to Agency’s conveyance of the Property, Redeveloper assigns or attempts to assign this Agreement or any rights hereunder or fails to pay the Purchase Price and take title to the Property upon Agency’s offer of conveyance, the Agency may, at its option, terminate this Agreement and retain any fees submitted by Redeveloper as liquidated damages.
