Common use of Prior To Final Payment Clause in Contracts

Prior To Final Payment. Prior to Final Payment, Claims by Contractor must be initiated by written notice to the Owner (1) within 21 days after occurrence of the event giving rise to such Claim or (2) within 21 days after the Contractor first recognizes or, in the exercise of reasonable care, should have first recognized the condition giving rise to the Claim, whichever of (1) or (2) occurs later. Failure of the Contractor to deliver notice of a Claim within the time period required by this Section shall result in a waiver of the Claim and all rights and remedies arising from the Claim.
