Prior to the Issue Date Clause Samples

Prior to the Issue Date the applicable Borrower shall specify a precise description of the documents and the verbatim text of any certificates to be presented by the Beneficiary which, if presented by the Beneficiary, would require the Fronting Letter of Credit Lender to make payment under its applicable Letter of Credit. The Fronting Letter of Credit Lender may, before the issue of the Letter of Credit and in consultation with the applicable Borrower, require changes in any such documentation or certificate.
Prior to the Issue Date the Borrower shall provide a precise description of the documents and the verbatim text of any certificates to be presented by the Beneficiary which, if presented by the Beneficiary, would require a Lender, Participant or Assignee, as the case may be, to make payment under the Letter of Credit. BT, Participant or Assignee may require changes in any such document or certificate.
Prior to the Issue Date the Borrower shall provide a precise description of the documents and the verbatim text of any certificates to be presented by the Beneficiary which, if presented by the Beneficiary, would require the Lender to make payment under the Documentary Credit. The Lender may require changes in any such document or certificate.
Prior to the Issue Date each certificate for shares of Preferred Stock issued to or held by Preferred Holders shall bear the following legend: "THE RATE AT WHICH THE SHARES OF SERIES A PREFERRED STOCK REPRESENTED BY THIS CERTIFICATE ARE CONVERTIBLE INTO COMMON STOCK IS SUBJECT TO AN AGREEMENT BETWEEN THE CORPORATION AND THE HOLDERS OF SERIES A PREFERRED STOCK, A COPY OF WHICH AGREEMENT IS AVAILABLE UPON REQUEST AT THE PRINCIPAL OFFICES OF THE CORPORATION."
Prior to the Issue Date the Borrower shall provide to the Documentary Credit Lender a precise description of the documents and the verbatim text of any certificates to be presented by the Beneficiary which, if presented by the Beneficiary, would require the Documentary Credit Lender to make payment under the Documentary Credit. The Documentary Credit Lender may require changes in any such document or certificate.
