Common use of Private Communications Clause in Contracts

Private Communications. Notwithstanding anything to the contrary contained in this Agreement, during the Cooperation Period, the ▇▇▇▇▇▇▇ Parties and their Affiliates are not prohibited from initiating and holding private communications regarding any matter with the Company’s directors, Chief Executive Officer, Chief Financial Officer, Chief Executive Officer of the Company’s Global Connect business, Chief Legal and Corporate Affairs Officer and Senior Vice President of Investor Relations, in each case, only so long as such private communications would not reasonably be expected to require any public disclosure thereof by the Company or the ▇▇▇▇▇▇▇ Parties. Each ▇▇▇▇▇▇▇ Party acknowledges and agrees that the directors of the Company may engage in discussions with the ▇▇▇▇▇▇▇ Parties and their Affiliates only subject to, and in accordance with, their respective fiduciary duties and other obligations to the Company and the Company Policies.
