Common use of Proceedings and Instruments Satisfactory; Certificates Clause in Contracts

Proceedings and Instruments Satisfactory; Certificates. All proceedings, corporate or otherwise, to be taken in connection with the transactions contemplated by this Agreement shall have occurred and all appropriate documents incident thereto as MEMS may request shall have been delivered to MEMS. The Company shall have delivered certificates in such detail as MEMS may request as to compliance with the conditions set forth in this Article V.
