All proceedings, corporate or other, to be taken by Buyer in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to Buyer Seller and Buyer's its counsel, and Seller Buyer shall have made available to Buyer Seller for examination the originals or true and correct copies of all documents which Buyer that Seller may reasonably request in connection with the transactions contemplated by this Agreement.

Proceedings and Instruments Satisfactory. All proceedings, corporate or other, to be taken in connection with the transactions contemplated by this AgreementAgreement by the Buyer, and all documents incident thereto, shall be reasonably satisfactory in form and substance to Buyer the Sellers and Buyer's the Sellers' counsel, and Seller shall have made available to Buyer for examination the originals or true and correct copies of all documents which Buyer may reasonably request in connection with the transactions contemplated by this Agreement.

Proceedings and Instruments Satisfactory. All proceedings, corporate or other, to be taken by Sellers and the Companies in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to Buyer and Buyer's counsel, and Seller Sellers shall have made available to Buyer for examination the originals or true and correct copies of all documents which that Buyer may reasonably request in connection with the transactions contemplated by this Agreement.

Proceedings and Instruments Satisfactory. All proceedings, corporate or other, proceedings to be taken by Buyer in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form complete to the reasonable satisfaction of Sellers and substance to Buyer and Buyer's Sellers’ counsel, and Seller Buyer shall have made available to Buyer Seller for examination the originals or true and correct copies of all documents which Buyer Seller may reasonably request in connection with the transactions contemplated by this Agreement.

Proceedings and Instruments Satisfactory. All proceedings, corporate or otherotherwise, to be taken in connection with the transactions contemplated by this Agreement, Agreement and all appropriate documents incident thereto, thereto shall be reasonably satisfactory in form and substance to Seller’s counsel; and Buyer and Buyer's counsel, and Seller shall have has made available to Buyer Seller for examination the originals or true and correct copies of all records and documents which Buyer that Seller may reasonably request in connection with the transactions contemplated by this Agreementhereby.

Proceedings and Instruments Satisfactory. All proceedings, proceedings corporate or otherotherwise, to be taken in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to Seller; and each of Edac and Buyer and Buyer's counsel, and Seller shall have made available to Buyer Seller for examination the originals or true and correct copies of all documents which Buyer Seller reasonably may reasonably request in connection with the transactions contemplated by this Agreement.

Proceedings and Instruments Satisfactory. All proceedingsproceedings and actions of Seller, its officers and individuals connected with Seller, necessary for corporate or other, action to be taken in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall have been taken and shall be reasonably satisfactory in form and substance complete to the reasonable satisfaction of Buyer and Buyer's counsel, and Seller shall have made available to Buyer for examination the originals originals, or true and correct copies copies, of all documents which Buyer may reasonably request in connection with the transactions contemplated by this Agreement.

Proceedings and Instruments Satisfactory. All proceedings, corporate or other, to be taken by Buyer in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form complete to the reasonable satisfaction of Sellers and substance to Buyer and Buyer's Sellers’ counsel, and Seller Buyer shall have made available to Buyer Sellers for examination the originals or true and correct copies of all documents which Buyer Sellers may reasonably request in connection with the transactions contemplated by this Agreement.

Proceedings and Instruments Satisfactory. All proceedings, corporate or otherotherwise, to be taken in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to the Seller and ▇▇▇▇▇▇▇ Properties; and, the Buyer and Buyer's counsel, and Seller shall have made available to Buyer the Seller and ▇▇▇▇▇▇▇ Properties for examination the originals or true and correct copies of all documents which the Buyer or ▇▇▇▇▇▇▇ Properties reasonably may reasonably request in connection with the transactions contemplated by this Agreement.

All proceedings, corporate limited liability company or otherotherwise, to be taken by Buyer in connection with the transactions contemplated by performance of this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form complete to the reasonable satisfaction of Seller and substance to Buyer and Buyer's Seller’s counsel, and Seller Buyer shall have made available to Buyer Seller for examination the originals or true and correct copies of all documents which Buyer Seller may reasonably request in connection with the transactions contemplated by this Agreement.

Proceedings and Instruments Satisfactory. All proceedings, corporate or other, required to be taken by the Seller in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to the Buyer and the Buyer's ’s counsel, and the Seller shall have made available to the Buyer for examination the originals or true and correct copies of all documents which that the Buyer may reasonably request in connection with the transactions contemplated by this Agreementsuch proceedings and documents.

Proceedings and Instruments Satisfactory. All proceedings, corporate or other, to be taken by Seller in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to Buyer and Buyer's counsel, and Seller shall have made available to Buyer for examination the originals or true and correct copies of all documents which that Buyer may reasonably request in connection with the transactions contemplated by this Agreement.

All proceedings, corporate or other, to be taken in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to Buyer and Buyer's counselthe Sellers, and Seller the Buyer shall have made available to Buyer the Sellers for examination the originals or true and correct copies of all documents which Buyer the Sellers may reasonably request in connection with the transactions contemplated by this Agreement.

Proceedings and Instruments Satisfactory. All proceedings, corporate or other, to be taken in connection with the transactions transaction contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to Buyer and Buyer's counselSeller, and Seller the Buyer shall have made available to Buyer Seller for examination the originals or true and correct copies of all records and documents relating to the business and affairs of the Buyer, which Buyer Seller may reasonably request in connection with said transaction. The Buyer shall have complied with all statutory requirements for the transactions valid consummation by the Buyer or the Buyer of the transaction contemplated by this Agreement.

Proceedings and Instruments Satisfactory. All proceedings, corporate or other, proceedings to be taken by any Purchasing Entity in connection with the transactions contemplated by provided for in this Agreement, and all documents incident theretorelated documents, shall be reasonably satisfactory in form and substance to Buyer the Selling Entities; and Buyer's counsel, and Seller the Purchasing Entities shall have made available to Buyer the Selling Entities for examination the originals or true and correct copies of all documents which Buyer it may reasonably request in connection with the transactions contemplated by this Agreementsaid transactions.

Proceedings and Instruments Satisfactory. All proceedings, corporate or other, proceedings to be taken in connection with the transactions contemplated by this Agreement, hereby and all documents incident thereto, shall be reasonably satisfactory in form and substance to Buyer and Buyer's counsel, and Seller shall have made available to Buyer for examination the originals or true and correct copies of all documents which Buyer may reasonably request in connection with the transactions contemplated by this Agreementhereby.

Proceedings and Instruments Satisfactory. All proceedings, corporate or other, otherwise to be taken in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to Buyer and the Buyer's counsel; and, and the Seller shall have made available to the Buyer for examination the originals or true and correct copies of all documents which the Buyer reasonably may reasonably request in connection with the transactions transaction contemplated by this Agreement.

All proceedings, corporate or otherotherwise, to be taken in connection with the transactions contemplated by this Agreement, Agreement and all appropriate documents incident thereto, thereto shall be reasonably satisfactory in form and substance to Buyer and Buyer's ’s counsel, ; and Seller shall have has made available to Buyer for examination the originals or true and correct copies of all records and documents which that Buyer may reasonably request in connection with the transactions contemplated by this Agreementhereby.

All proceedings, corporate or other, to be taken in connection with the transactions contemplated by this Agreement, and all documents incident incidental thereto, shall be reasonably satisfactory in form and substance to Buyer and Buyer's its counsel, and . Seller shall have made available submitted to Buyer or its representatives for examination the originals or true and correct copies of all records and documents relating to the business and affairs of the Companies which Buyer may reasonably request have requested in connection with the transactions contemplated by this Agreementsaid transactions.

Proceedings and Instruments Satisfactory. All proceedings, corporate or other, to be taken in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to Buyer and Buyer's counselthe Seller, and Seller the Buyer shall have made available to Buyer the Seller for examination the originals or true and correct copies of all documents which Buyer the Seller may reasonably request in connection with the transactions contemplated by this Agreement.

Proceedings and Instruments Satisfactory. All proceedings, corporate corporate, regulatory or otherotherwise, to be taken in connection with the transactions contemplated by this Agreement, Agreement and all documents incident thereto, shall be reasonably satisfactory in form and substance to the Sellers and Buyer and Buyer's counsel, and Seller shall have made available to Buyer for examination furnished the originals or true and correct Sellers with certified copies of all such proceedings and such other instruments and documents which Buyer may as the Sellers shall have reasonably request in connection with the transactions contemplated by this Agreementrequested.

Proceedings and Instruments Satisfactory. All proceedings, corporate or other, to be taken by Buyer in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to Buyer Seller and Buyer's their respective counsel, and Seller Buyer shall have made available to Buyer Seller for examination the originals or true and correct copies of all documents which Buyer that Seller may reasonably request in connection with the transactions contemplated by this Agreement.

All proceedings, corporate or otherotherwise, to be taken in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to Buyer and the Buyer's counsel, and . The Seller shall have made available to the Buyer for examination the originals or true and correct copies of all documents which the Buyer reasonably may reasonably request in connection with the transactions contemplated by this Agreement.

All proceedings, corporate or other, to be taken by Buyer in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form complete to the reasonable satisfaction of Seller and substance to Buyer and BuyerSeller's counsel, and Seller Buyer shall have made available to Buyer Seller for examination the originals or true and correct copies of all documents which Buyer Seller may reasonably request in connection with the transactions contemplated by this Agreement.

Proceedings and Instruments Satisfactory. All proceedings, ------------------------------------------- corporate or other, to be taken by the Buyer and the Sub in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to the Shareholders, the Company and their counsel and the Buyer and Buyer's counsel, and Seller shall have made available to Buyer the Shareholders for examination the originals or true and correct copies of all documents which Buyer that any Shareholder may reasonably request in connection with the transactions contemplated by this Agreement.

Proceedings and Instruments Satisfactory. All proceedings, corporate or other, to be taken in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to the Buyer and the Buyer's counsel, and Seller the Sellers and ECI shall have made available to the Buyer for examination the originals or true and correct copies of all documents in their possession, or which they can reasonably obtain, which the Buyer may reasonably request in connection with the transactions contemplated by this Agreement.

Proceedings and Instruments Satisfactory. All proceedings, corporate or other, to be taken by Seller in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to Buyer and Buyer's counsel, and Seller and the Company shall have made available to Buyer for examination the originals or true and correct copies of all documents which Buyer may reasonably request in connection with the transactions contemplated by this Agreement.

Proceedings and Instruments Satisfactory. All proceedings, corporate or otherotherwise, to be taken in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to Buyer the Buyer; and Buyer's counsel, the Seller and Seller ▇▇▇▇▇▇▇ Properties shall have made available to the Buyer for examination the originals or true and correct copies of all documents which the Buyer reasonably may reasonably request in connection with the transactions transaction contemplated by this Agreement.

Proceedings and Instruments Satisfactory. All proceedings, corporate or other, to be taken by Seller in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to Buyer and Buyer's counsel, and Seller shall have made available to Buyer for examination the originals or true and correct copies of all documents which Buyer may reasonably request in connection with the transactions contemplated by this Agreement.all

Proceedings and Instruments Satisfactory. All proceedings, corporate limited liability company or other, required to be taken by Seller in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory have been taken in form and substance reasonably satisfactory to Buyer and copies of all such proceedings shall have been delivered to Buyer's counsel, and Seller shall have made available delivered to Buyer for examination the originals or true and correct copies of all other documents which Buyer may reasonably request in connection with the transactions contemplated by this Agreement.

Proceedings and Instruments Satisfactory. All proceedingsproceeding, corporate or other, to be taken in connection with the transactions contemplated by this Agreement, Agreement and all instruments and documents required in connection therewith or incident thereto, thereto shall be reasonably satisfactory in form and substance to Buyer and BuyerSeller's counsel, and Seller shall have made available to Buyer for examination the originals or true and correct copies of all documents which Buyer may reasonably request in connection with the transactions contemplated by this Agreement.

Proceedings and Instruments Satisfactory. All proceedings, ---------------------------------------- corporate or other, to be taken in connection with the transactions contemplated by this Agreement, and all documents incident incidental thereto, shall be reasonably satisfactory in form and substance to Buyer the Buyer, DHS and Buyer's their counsel, and Seller . The Stockholder shall have made available submitted to the Buyer or its representatives for examination the originals or true and correct copies of all records and documents relating to the Business which the Buyer may reasonably request have requested in connection with the transactions contemplated by this Agreementsaid transactions.

Proceedings and Instruments Satisfactory. All proceedings, ---------------------------------------- corporate or other, to be taken in connection with the transactions contemplated by this Asset Purchase Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to Buyer and Buyer's counsel, and Seller shall have made available to Buyer for examination the originals or true and correct copies of all documents which Buyer may reasonably request in connection with the transactions contemplated by this Asset Purchase Agreement.

Proceedings and Instruments Satisfactory. All proceedings, corporate or other, to be taken in connection with the transactions transaction contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to Buyer and Buyer's counselSeller, and Seller the Buyer shall have made available to Buyer Seller for examination the originals or true and correct copies of all records and documents relating to the business and affairs of the Buyer, which Buyer Seller may reasonably request in connection with said transaction. The Buyer shall have complied with all statutory requirements for the transactions valid consummation by the Buyer of the transaction contemplated by this Agreement.

Proceedings and Instruments Satisfactory. All proceedingsactions, corporate or other, to be taken by the Sellers in connection with the transactions contemplated by this Agreement, Agreement and all documents incident thereto, incidental thereto shall be reasonably satisfactory in form and substance to Buyer and Buyer's counsel, and Seller the Purchaser. The Sellers shall have made available to Buyer complied with all applicable statutory requirements for examination the originals or true and correct copies valid consummation by the Sellers of all documents which Buyer may reasonably request in connection with the transactions contemplated by this Agreement.

Proceedings and Instruments Satisfactory. All proceedings, corporate or other, to be taken by the Buyer and the Sub in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to the Shareholder, the Company and their counsel and the Buyer and Buyer's counsel, and Seller shall have made available to Buyer the Shareholder for examination the originals or true and correct copies of all documents which Buyer that the Shareholder may reasonably request in connection with the transactions contemplated by this Agreement.

Proceedings and Instruments Satisfactory. All proceedings, corporate or otherotherwise, to be taken by the Sellers in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to Buyer and Buyer's counsel, and Seller the Sellers shall have made available to Buyer for examination the originals or true and correct copies of all documents which that Buyer may reasonably request in connection with the transactions contemplated by this Agreement.

Proceedings and Instruments Satisfactory. All proceedings, corporate or other, to be taken in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to Buyer and Buyer's ’s counsel, ; and Seller shall have made available to Buyer for examination the originals or true and correct copies of all documents relating to Country Stampede required under this Agreement, which Buyer may reasonably request in connection with the transactions contemplated by this Agreementrequest.

All proceedings, corporate limited liability company or other, to be taken by Buyer in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form complete to the reasonable satisfaction of Seller and substance to Buyer and Buyer's Seller’s counsel, and Seller Buyer shall have made available to Buyer Seller for examination the originals or true and correct copies of all documents which Buyer Seller may reasonably request in connection with the transactions contemplated by this Agreement.

Proceedings and Instruments Satisfactory. All proceedings, corporate or other, to be taken by Purchaser in connection with the transactions contemplated by this AgreementAgreement (including payment of the Purchase Price), and all documents incident thereto, shall be reasonably satisfactory in form and substance to Buyer Seller and Buyer's their counsel, and Seller Purchaser shall have made available to Buyer Seller for examination the originals or true and correct copies of all documents which Buyer that Seller may reasonably request in connection with the transactions contemplated by this Agreement.

Proceedings and Instruments Satisfactory. All proceedings, corporate or other, to be taken by the Company and the Shareholder in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to Buyer the Buyer, the Sub and Buyer's their counsel, and Seller the Company and the Shareholder shall have made available to the Buyer for examination the originals or true and correct copies of all documents which that the Buyer may reasonably request in connection with the transactions contemplated by this Agreement.

All proceedings, corporate or other, to be taken by each Seller and Parent in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to Buyer and Buyer's counsel, and Seller shall have made available to Buyer for examination the originals or true and correct copies of all documents which Buyer may reasonably request in connection with the transactions contemplated by this Agreement.

All proceedings, corporate or otherotherwise, to be taken in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to the Seller; and, the Buyer and Buyer's counsel, and Seller shall have made available to Buyer the Seller for examination the originals or true and correct copies of all documents which Buyer the Seller reasonably may reasonably request in connection with the transactions contemplated by this Agreement.
