Common use of Proceedings and Instruments Satisfactory Clause in Contracts

Proceedings and Instruments Satisfactory. All proceedings, ---------------------------------------- corporate or other, to be taken by Blackhawk and Merger Corp. in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to DunC, and Blackhawk shall have made available to DunC for examination the originals or true and correct copies of all documents which DunC may reasonably request in connection with the transactions contemplated by this Agreement.

Proceedings and Instruments Satisfactory. All proceedings, ---------------------------------------- corporate or other, to be taken by Blackhawk and Merger Corp. DunC in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to DunCBlackhawk, and Blackhawk DunC shall have made available to DunC Blackhawk for examination the originals or true and correct copies of all documents which DunC Blackhawk may reasonably request in connection with the transactions contemplated by this Agreement.
