Common use of Processing Expenses Clause in Contracts

Processing Expenses. Tenant shall pay to Landlord the amount of Landlord's cost of processing each proposed assignment or subletting, including. without limitation, attorneys' and other professional fees, and the cost of Landlord's administrative, accounting and clerical time (collectively, "Processing Costs"), and the amount of all direct and indirect expense incurred by Landlord arising from the assignee or sublessee taking occupancy of the subject space, including, without limitation, costs of freight elevator operation for moving of furnishings and trade fixtures, security service, janitorial and cleaning service, rubbish removal service, costs of changing signage, and costs of changing locks and making new keys (collectively, "Occupancy Costs"). Notwithstanding anything to the contrary herein, Landlord shall not be required to process any request for Landlord's consent to an assignment or subletting until Tenant has paid to Landlord the amount of Landlord's estimate of the Processing Costs and the Occupancy Costs, provided, however, such costs shall reflect the actual expenses incurred and shall not exceed $2,000.00 per assignment or subletting.

Notwithstanding anything to the contrary herein, Landlord shall not be required to process any request for Landlord's consent to an assignment or subletting until Tenant has paid to Landlord the amount of Landlord's estimate of the Processing Costs and all other direct and indirect costs and expenses of Landlord and its agents arising from the Occupancy Costsassignee or subtenant taking occupancy, providedprovided that, howeverwithin thirty (30) days after Landlord has completed processing Tenant's request, such Landlord shall reimburse Tenant any amount by which Tenant's payment of Landlord's estimate exceeds Landlord's actual costs shall reflect the actual expenses incurred and shall not exceed $2,000.00 per assignment or sublettingexpenses.
