Processing Facility. Concessionaire shall on the date of expiry of the Concession Period, hand back peaceful possession of the Project facilities to the Lead ULB free of cost and free from all encumbrances and in good operational condition. Upon service of the Termination Notice or at least 12 months before the expiry of the term of agreement, a joint inspection of the Project Facilities shall be undertaken by Independent Engineer/ the Lead ULB and Concessionaire. Concessionaire shall promptly undertake and complete such works/jobs on its own cost and expense, as may be required by the Lead ULB at least three months prior to the expiry of Concession Period and ensure that the Project Facilities may continue to meet such requirements even after the same are handed back to the Lead ULB.

Processing Facility. TFC Recycling shall maintain and deliver all Recyclable Materials collected to a Processing Facility which is operated in compliance with all applicable federal, state, local laws, regulations and/or standards throughout the term of this Agreement. TFC Recycling shall be responsible for ensuring the neat and orderly operation and appearance of the Processing Facility, to include the property on which the Processing Facility is located. TFC Recycling shall notify the Authority, in writing, not less than thirty (30) days before any relocation of the Processing Facility. TFC Recycling shall maintain all Processing Facilities in good repair at all times. TFC Recycling shall notify the Authority, in writing, if at any time the Processing Facility is in a condition in which processing capabilities or normal operations are expected to be interrupted for more than one week. TFC Recycling shall be responsible for managing all Residue resulting from processing of the Recyclable Materials. TFC Recycling shall bear all costs and full responsibility for the transport and disposal of Residue to a permitted solid waste disposal facility.

Processing Facility. Hauler shall deliver all Recyclable Material collected in City to the Eureka Recycling’s Materials Processing Facility (MRF) at ▇▇▇▇ ▇▇▇▇▇▇▇ ▇▇▇▇▇▇ NE, Minneapolis, Minnesota. The Contractor shall ensure that adequate recyclable material processing capacity will be provided at the MRF for City material collected. The Contractor shall provide written notice to the City at least 30 days in advance of any substantial change in these or subsequent plans for receiving and processing Recyclable Material collected from the City.
