Common use of Processor and Controller Responsibilities Clause in Contracts

Processor and Controller Responsibilities. The parties acknowledge and agree that, except in circumstances where Section 2.10 applies, between TD and Company: (a) TD is a Processor or the equivalent of Company Personal Data under Applicable Privacy Law; (b) Company is a Controller or the equivalent of Company Personal Data under Applicable Privacy Law; and (c) each party will comply with the obligations applicable to it under Applicable Privacy Law with respect to the Processing of Company Personal Data.
