Common use of Procure fulfilment Clause in Contracts

Procure fulfilment. The Warrantors jointly and severally undertake to the Overall Coordinators, the Joint Global Coordinators (for themselves and on behalf of the Hong Kong Underwriters and the Capital Market Intermediaries), the Joint Sponsors and the Sponsor-OCs to use their best endeavours, to procure the fulfilment of the Conditions on or before the relevant time or date specified therefor (provided that nothing in this Clause 2.2 shall require the Warrantors to procure the fulfilment of such Conditions on the part of the Overall Coordinators, the Joint Global Coordinators, the Joint Sponsors and the Sponsor-OCs, the Capital Market Intermediaries, the Joint Bookrunners, the Joint Lead Managers and the Hong Kong Underwriters), and, in particular, shall furnish such information, supply such documents, pay such fees, give such undertakings and do all acts and things as may reasonably be required by the Joint Sponsors, the Sponsor-OCs, the Overall Coordinators and the Joint Global Coordinators (for themselves and on behalf of the Hong Kong Underwriters the Capital Market Intermediaries) or required by the Stock Exchange, the SFC, the CSRC and the Registrar of Companies in Hong Kong or any Authority for the purposes of or in connection with the listing of the H Shares and the fulfilment of such Conditions.

The Warrantors jointly and severally undertake to the Joint Sponsors, the Joint Global Coordinators, the Overall Coordinators, the Joint Global Coordinators (for themselves and on behalf of Lead Managers, the Co-Lead Manager, the Joint Bookrunners, the Hong Kong Underwriters and the Capital Market Intermediaries), the Joint Sponsors and the Sponsor-OCs Intermediaries to use their its best endeavours, endeavours to fulfil or procure the fulfilment of the Conditions on or before the relevant time or date specified therefor (provided that nothing in this Clause 2.2 shall require the Warrantors to procure the fulfilment of such Conditions on conditions by the part of the Overall CoordinatorsJoint Sponsors, the Joint Global Coordinators, the Joint Sponsors and the Sponsor-OCs, the Capital Market IntermediariesOverall Coordinators, the Joint Bookrunners, the Joint Lead Managers and Managers, the Co-Lead Manager, the Hong Kong Underwriters), Underwriters and the Capital Market Intermediaries and their counsel) on or before the relevant time or date specified therefor and, in particular, shall furnish such information, supply such documents, pay such fees, give such undertakings and do all acts and things as may be reasonably be required by the Joint Sponsors, the Sponsor-OCs, Sponsors and the Overall Coordinators and the Joint Global Coordinators (for themselves and on behalf of the Hong Kong Underwriters Underwriters), the Capital Market Intermediaries) or required by the Stock ExchangeSEHK, the SFC, the CSRC and the Registrar of Companies in Hong Kong or and any relevant Authority for the purposes of or in connection with the listing of the H Shares and the fulfilment of such Conditions.

The Warrantors jointly and severally undertake to the Sole Sponsor, the Joint Global Coordinators, the Joint Bookrunners, the Joint Lead Managers, the Sponsor-OC, the Overall Coordinators, the Joint Global Coordinators (for themselves CMIs and on behalf of the Hong Kong Underwriters and the Capital Market Intermediaries), the Joint Sponsors and the Sponsor-OCs to use their best endeavours, to procure the fulfilment of the Conditions on or before the relevant time or date specified therefor (provided that nothing in this Clause 2.2 shall require the Warrantors to procure the fulfilment of such Conditions on conditions by the part of the Overall CoordinatorsSole Sponsor, the Joint Global Coordinators, the Joint Sponsors and the Sponsor-OCs, the Capital Market Intermediaries, the Joint Bookrunners, the Joint Lead Managers Managers, the Sponsor-OC, the Overall Coordinators, the CMIs and the Hong Kong Underwriters), Underwriters and their counsel) on or before the relevant time or date specified therefor and, in particular, shall furnish such information, supply such documents, pay such fees, give such undertakings and do all acts and things as may reasonably be required by the Joint Sponsors, the Sponsor-OCs, the Overall Coordinators and the Joint Global Coordinators (for themselves and on behalf of the Hong Kong Underwriters Underwriters), and the Capital Market Intermediaries) or Sole Sponsor, and as may be required by the Stock ExchangeSEHK, the SFC, the CSRC and the Registrar of Companies in Hong Kong or any Authority for the purposes of or in connection with the listing of the H Shares and the fulfilment of such Conditions.
