Common use of Procure fulfilment Clause in Contracts

Procure fulfilment. The Company undertakes to the Joint Sponsors, the Joint Representatives, the Joint Global Coordinators, the Joint Bookrunners, the Joint Lead Managers and the Hong Kong Underwriters to procure the fulfilment of the Conditions and to do such things and take such actions as are necessary to ensure that Admission is obtained and not cancelled or revoked, on or before the relevant time or date specified therefor and, in particular, shall furnish such information, supply such documents, pay such fees, give such undertakings and do all acts and things as may be required by the Joint Sponsors, the Joint Representatives (for themselves and on behalf of Joint Bookrunners and the Hong Kong Underwriters), the Stock Exchange, the SFC and the Registrar of Companies in Hong Kong and any other relevant Authority for the purposes of or in connection with the application for the listing of and the permission to deal in the Class A Ordinary Shares on the Main Board of the Stock Exchange and the fulfilment of such Conditions.

Procure fulfilment. The Each of the Company and the Selling Shareholders undertakes to the Joint Sponsors, the Joint Representatives, the Joint Global Coordinators, the Joint Bookrunners, the Joint Lead Managers Bookrunners and the Hong Kong Underwriters to, use their best endeavours to procure the fulfilment of the Conditions and to do such things and take such actions as are necessary to ensure that Admission is obtained and not cancelled or revoked, on or before the relevant time or date specified therefor and, in particular, shall furnish such information, supply such documents, pay such fees, give such undertakings and do all acts and things as may be required by the Joint Sponsors, the Joint Representatives Global Coordinators (for themselves and on behalf of the Joint Bookrunners Bookrunners, the Joint Lead Managers and the Hong Kong Underwriters), the Stock Exchange, the SFC and the Registrar of Companies in Hong Kong and any other relevant Governmental Authority for the purposes of or in connection with the application for the dual primary listing of and the permission to deal in the Class A Ordinary Shares on the Main Board of the Stock Exchange and the fulfilment of such Conditions.
