Each of the Warrantors jointly and severally undertakes to the Joint Sponsors, the Overall Coordinators, the Joint Global Coordinators, the Joint Bookrunners, the Joint Lead Managers, the CMIs and the Hong Kong Underwriters to use its best endeavours to fulfil or to procure the fulfilment of the Conditions in the manner and form prescribed and, in particular, shall furnish such information, supply such documents, pay such fees, give such undertakings and do all acts and things as may be reasonably required by the Overall Coordinators (for themselves and on behalf of the other Hong Kong Underwriters), or required by the SEHK, the SFC, the CSRC and the Registrar of Companies in Hong Kong and/or any applicable PRC, the British Virgin Islands and Hong Kong Authority for the purposes of or in connection with the listing of and permission to deal in the Shares and the fulfilment of such Conditions on or before the relevant date and time as required.
