Production Management. The Contractor shall provide a Production Management Service, offering advice and assistance regarding the most cost effective method of delivering a Job to meet the required purposeand specification taking into account environmental aspects.

(i) IP shall be responsible for managing all aspects of production of Products under this Agreement, including production planning, production, transportation planning and shipping. Sylvamo and IP shall comply in all material respects with the Service Level Agreement attached hereto as Schedule A, including the Sales and Operations Plan (“S&OP”) referred to therein as modified by IP from time to time, for Products produced at the Mill. The Project Managers (as defined below) shall meet at least annually to discuss in good faith and implement any changes to the S&OP or the Service Level Agreement that such Project Managers agree are necessary to maintain production, sales and operations consistent with past practice.
(ii) As part of the Service Level Agreement, the Parties agree to develop and jointly manage an effective S&OP process consistent in all material respects with IP’s past practice. The S&OP process will address efficient planning and scheduling of RD16 to align commercial and manufacturing imperatives.
(iii) Production overruns that exceed the percentage tolerance attached hereto as Schedule E (“Standard Tolerances”) shall be borne by IP, provided that Sylvamo shall cooperate with IP and use commercially reasonable efforts to sell any production overrun that exceeds Standard Tolerances.
(iv) Sylvamo shall use commercially reasonable efforts to ensure that the grade/customer mix at Riverdale is consistent with past practices at the Mill prior to the Effective Date.
Production Management. McQueen will be responsible for managing the production of all component materials through either internal or external manufacturing resources. It is anticipated that product design, file manipulation, and any translation/localization will be collaborative between McQueen and Adobe. All aspects of purchasing, production scheduling, coordination, and payment for components manufactured on Adobe’s behalf, however, will be McQueen’s sole responsibility. This includes responsibility for quality control of manufac- tured components as described below. McQueen will assume responsibility for the sub-tier vendor management in the areas of performance evaluation, direct purchasing and delivery arrangements. McQueen will also manage materials in a manner which ensures finished goods availability matching forecasted requirements. This includes forecast analysis, production & inventory strategy, and delivery arrangements for each individual component SKU in the Adobe products. McQueen will be responsible for coordinating, with component manufacturing sites, the delivery of all components to the turnkey site. These arrangements will be made at McQueen’s sole discretion and may incorporate special pricing arrangements to limit McQueen’s inventory investment. McQueen will be responsible for receiving all component materials and conducting appropriate inspections to verify that both the quantity and quality of such receipts meets with McQueen and Adobe’s mutually agreed upon standards of acceptance.
