Professional Fees and Expenses. The Borrowers and, if the Borrowers are prohibited from doing so by Applicable Law, the Guarantors shall pay, within 15 business days of receipt of an invoice therefor (subject to redaction to protect privileges or other confidential communications), all reasonable fees and out-of-pocket expenses of the Administrative Agent and the Co-Collateral Agents, including without limitation, White & Case LLP, all local counsel engaged by the Administrative Agent (the “Local Counsel”) and any Lender Financial Advisor.
