Common use of Professional Representation Clause in Contracts

Professional Representation. ‌ The Association, as the exclusive representative of all teachers as defined in Article 2.3, will represent such persons fairly. No one shall be required to join the Association, but membership in the Association shall be made available to all who apply, consistent with the Association constitution and bylaws. No one shall be denied Association membership because of race, creed, color or sex. The Association hereby agrees to indemnify and shall save the District harmless against any and all claims, demands, suits, or other forms of liability, including court costs, that shall arise out of or by reason of action taken or not taken by the District, which District action or inaction is in compliance with the provisions of Article V, and in reliance on any lists or certificates which have been furnished to the District pursuant to this Article; provided that the defense of any such claims, demands, suits, or other forms of liability shall be under the control of the Association and its attorneys. However, nothing in this section shall be interpreted to preclude the District from participating in any legal proceedings challenging the application or interpretation of Article V through representatives of its own choosing and at its own expense.‌
