Prohibited Transfers Void. Any attempted Transfer in violation of the terms of this Agreement will be ineffective to vest in any purported transferee any right, title or interest in or to the securities purported to be Transferred, and the Company will not recognize any such purported transferee as the holder or owner of such securities for any purpose, including, without limitation, for purposes of exercising voting rights or rights to receive dividends or other distributions in respect of such securities.
