Prohibited Uses. a. You must not: i) give the Card or Account number to any person or allow them to use the Card or Account for Charges, identification or any other purpose, other than to give your consent to a transaction in accordance with the “Use of the Card/Code(s)” section of this Agreement; ii) allow another person to use the Card or Codes for any reason; iii) return goods or services obtained using your Account or Card for a cash refund. If permitted by the Merchant, goods and services charged to a Card may be returned to the Merchant for a credit to that Card; iv) use the Card to obtain cash from a Merchant for a Charge recorded as a purchase; v) obtain a credit to your Account except by way of a refund for goods or services previously purchased on your Account; vi) use the Card if you are bankrupt or insolvent or if you do not honestly expect to be able to pay us any sums you owe us under this Agreement; vii) use the Card if you know or could be reasonably expected to know that Your Company is insolvent, wound up, if an administrator or administrative receiver has been appointed or it is subject to any other form of insolvency procedure; viii) use the Card or your Account to obtain cash unless we have agreed with Your Company separately to permit Cash Advances; ix) use a Card which has been reported to us as lost or stolen until such time as we issue a new Card or new Account details (in which case you must use the new details) or we otherwise confirm that you may resume use of the Account/Card; x) use a Card after it has been suspended or cancelled, after the Account expires or after the ‘valid thru’ date shown on the front of the Card; xi) use the Card for any purpose other than the genuine purchase of goods and/or services (or Cash Advances, if applicable); xii) use the Card to purchase anything for the purpose of re-sale unless we have previously agreed to this with Your Company; or xiii) use the Card to purchase anything from a Merchant that Your Company or any third party related to Your Company have any ownership interest in, where such ownership interest does not include shares quoted on a recognised stock exchange. b. ix) use a Card which has found by you after having been reported to us as lost or stolen until such time as we issue a new stolen; • transfer balances from another account with us to pay your account; • use your account if your Card or new Account details (in which case you must use the new details) or we otherwise confirm that you may resume use of the Account/Card;
x) use a Card after it has been suspended or cancelled, after the Account expires cancelled or after the ‘valid thru’ date shown on the front of the Card;
xi) ; or • use your account for an unlawful purpose, including the Card for any purpose other than the genuine purchase of goods and/or or services (prohibited by the laws of Australia or Cash Advances, if applicable);
xii) use any other country where the Card is used or where the goods or services are provided. It is your responsibility to purchase anything for ensure that there is no prohibited use of your account by you, the purpose of re-sale unless we have previously agreed to this with Your Company; or
xiii) use business and any Employee Card Members. You and the Card to purchase anything from a Merchant that Your Company or any third party related to Your Company have any ownership interest in, where such ownership interest does not include shares quoted on a recognised stock exchange.
b. Subject to the “Lost/Stolen Cards, Incorrectly Executed Transactions and Misuse of Your Account” section of this Agreement, you business will be responsible for any prohibited use of your Account account even if we did not prevent or stop the prohibited use. We will send or make available to you statements of account (called statements) periodically. We will normally send or make available to you a statement once every month. Each statement will show important information about your account, unless otherwise such as the outstanding balance on the last day of the statement period (called the closing balance), the payment due, the payment due date and will include charges made by you and any Employee Card Members. If your account is seriously overdue or inactive or the balance is less than $10 or in credit, we may stop sending you statements. Always check each statement for accuracy and contact us as soon as possible if you need more information about a charge on any statement. If you have a complaint or problem with your statement or any charge on it, inform us immediately. The Australian Taxation Office has issued legislative instruments which provides that Business Card Members of American Express Australia Limited can use their Business Card Statements including electronic data files, to support their claim for input tax credits without holding a tax invoice or adjustment note, provided by law.certain requirements are provided and the respective legislative instruments are met. Prohibited Uses. a. You must notundertake to ensure that neither you nor any Cardmember nor any other officer, employee, agent of, or consultant or contractor to, the Account Company or any of its Affiliates shall:

vii) use or authorise the use of any Card if you know or the relevant Cardmember knows or could be reasonably expected to know that Your the Account Company is insolvent, wound up, if that an administrator or administrative receiver has been or is about to be appointed or that it is or is about to become the subject to of any other form of insolvency procedureor winding up procedure in any jurisdiction;
viii) use the Card or your Account to obtain cash unless we have agreed with Your Company separately to permit Cash Advances;
ix) use a Card which has been reported to us as lost or stolen until such time as we issue a new Card or new Account details (in which case you and the relevant Cardmember must use the new details) or we otherwise confirm that you may resume use of the Account/original Account details or Card;
xix) use a Card after it has been suspended or cancelled, after the Account expires or after the ‘valid thru’ expiry date shown on the front of the Card;
xix) use the a Card for any purpose other than the genuine purchase of goods and/or services (or Cash Advances, if applicable)solely for the Account Company’s legitimate business purposes;
xiixi) use the a Card to purchase anything for the purpose of re-sale unless we have previously agreed to this with Your Companythe Account Company in writing; or
xiiixii) use the Card to purchase anything from a Merchant that Your in which the Account Company or any third party related to Your Company have Affiliate has any ownership interest ininterest, where such excluding an ownership interest does not include consisting only of shares quoted on a recognised stock exchange.

Subject to the “Lost/Stolen CardsSave as expressly provided elsewhere in this Agreement or as otherwise provided by law, Incorrectly Executed Transactions and Misuse of Your Account” section of this Agreement, you will be responsible and liable for and will indemnify us against all consequences of any prohibited use of your Account even if Account, whether or not we knew of or did not prevent or stop the prohibited use, unless otherwise provided by law.

xiv) usage of your Card by, or on behalf of any legal entities (or individuals, where applicable) not declared to us upon onboarding or formally thereafter is prohibited. Prior to onboarding and enabling any such parties to use the Card, the Cardmember’s complete name, location, and other required information must be provided to us via the relevant product application form(s), or through our other approved channels. Your Card will only be permitted for use for entities and individuals approved by us and are only authorized for use in eligible jurisdictions. We may terminate this Agreement or cancel any Card or any Account immediately where we suspect any unauthorised use of any Cards as described in this section.
b. Subject to the Section 22 “Lost/Stolen Cards, Incorrectly Executed Transactions and Misuse of Your Account” section of this Agreement, you will be responsible for any prohibited use of your Account even if we did not prevent or stop the prohibited use, unless otherwise provided by law.

vi) use the Card if you are bankrupt going through insolvency proceedings or insolvent are insolvent, or if you do not honestly sincerely expect to be able to pay us any sums amount you owe us under this Agreement;
vii) use the Card if you know or could reasonably be reasonably expected to know that Your your Company is insolvent, wound up, if an administrator is going through insolvency proceed- ings or administrative receiver has been appointed declared bankrupt, or if it is subject to any other form of insolvency procedureproceedings;
viii) use the Card or your Account to obtain cash cash, unless we have inde- pendently agreed with Your Company separately to permit allow you Cash Advances;
ix) use a Card which that has been reported to us as lost or stolen stolen, until such time as we issue you with a new Card or new Account details (in which case case, you must use the new details) or we otherwise confirm that you may resume use of the are able to re- sume using your Account/Card;
x) use a Card after it has been suspended or cancelled, after the Account expires Ac- count has expired, or after the ‘valid thru’ date “expiry date” shown on the front of the Card;
xi) use the Card for any purpose other than the genuine purchase of goods and/or services (or Cash Advances, if applicable);; or
xii) use the Card to purchase anything for the purpose purposes of re-sale resale, unless we have previously agreed to this with Your your Company; or
xiii) use the Card to purchase anything from a Merchant that Your Company or any third party related to Your Company have any ownership interest in, where such ownership interest does not include shares quoted on a recognised stock exchange.
b. Subject to the “Lost/Stolen Cards, Incorrectly Executed Transactions Performed Incorrect- ly and Misuse of Your your Account” section of this Agreementherein, you will be responsible liable for any prohibited use of your Account Account, even if we did have not prevent prevented or stop stopped the prohibited useuse of your Account, unless except as otherwise provided for by law.

Prohibited Uses. a. You must not:

ix) use a Card which has been reported to us as lost or stolen until such time as we issue a new Card or new Account details (in which case you must use the new details) or we otherwise confirm that you may resume use of the Account/Card;
x) use a Card after it has been suspended or cancelled, after the Account expires or after the ‘valid thru’ date shown on the front of the Card;
xi) use the Card for any purpose other than the genuine purchase of goods and/or services (or Cash Advances, if applicable);
xii) use the Card to purchase anything for the purpose of re-sale unless we have previously agreed to this with Your Company; or
xiii) use the Card to purchase anything from a Merchant that Your Company or any third party related to Your Company have any ownership interest in, where such ownership interest does not include shares quoted on a recognised stock exchange.
b. Subject to the Section 22 “Lost/Stolen Cards, Incorrectly Executed Transactions and Misuse of Your Account” section of this Agreement, you will be responsible for any prohibited use of your Account even if we did not prevent or stop the prohibited use, unless otherwise provided by law.

Prohibited Uses. a. You must notundertake to ensure that neither you nor any Cardmember nor any other officer, employee, agent of, or consultant or contractor to, the Account Company or any of its Affiliates shall:

vii) use or authorise the use of any Card if you know or the relevant Cardmember knows or could be reasonably expected to know that Your the Account Company is insolvent, wound up, if that an administrator or administrative receiver has been or is about to be appointed or that it is or is about to become the subject to of any other form of insolvency procedureor winding up procedure in any jurisdiction;
viii) use the Card or your Account to obtain cash unless we have agreed with Your Company separately to permit Cash Advances;
ix) use a Card which has been reported to us as lost or stolen until such time as we issue a new Card or new Account details (in which case you and the relevant Cardmember must use the new details) or we otherwise confirm that you may resume use of the Account/original Account details or Card;
xix) use a Card after it has been Frozen or cancelled; or at any time the Account is suspended or cancelled, after the Account expires expires; or after the ‘valid thru’ expiry date shown on the front of the Card;
xix) use the a Card for any purpose other than the genuine purchase of goods and/or services (or Cash Advances, if applicable)solely for the Account Company’s legitimate business purposes;
xiixi) use the a Card to purchase anything for the purpose of re-sale unless we have previously agreed to this with Your Companythe Account Company in writing; or
xiiixii) use the Card to purchase anything from a Merchant that Your in which the Account Company or any third party related to Your Company have Affiliate has any ownership interest ininterest, where such excluding an ownership interest does not include consisting only of shares quoted on a recognised stock exchange.
b. Subject to the “Lost/Stolen CardsSave as expressly provided elsewhere in this Agreement or as otherwise provided by law, Incorrectly Executed Transactions and Misuse of Your Account” section of this Agreement, you will be responsible and liable for and will indemnify us against all consequences of any prohibited use of your Account even if Account, whether or not we knew of or did not prevent or stop the prohibited use, unless otherwise provided by law.

viii) use the Card or your Account to obtain cash unless we have agreed with Your Company separately to permit Cash Advances;
ixvii) use a Card which has been reported to us as lost or stolen until such time as we issue a new Card or new Account details (in which case you must use the new details) or unless we otherwise confirm that you You may resume use of the Card or Account/Card;
xviii) use a Card after it has been suspended or cancelled, after the Account expires or after the ‘valid thru’ date shown on the front of the Card;
xiix) use the Card for any purpose other than the genuine purchase of goods and/or and/ or services (or Cash Advancescash withdrawals, if applicable);
xiix) use transfer a credit balance from another account with us to pay off the Card to purchase anything for the purpose of re-sale unless we have previously agreed to this with Your CompanyAccount; orand
xiiixi) use the Card to purchase anything from a Merchant that Your Company You or any third party related to Your Company You have any ownership interest in, where such ownership interest does not include shares quoted on a recognised stock exchange.
b. Subject xii) Usage of your Card or any International Currency Card Programmes by, or on behalf of any legal entities (or individuals, where applicable) not declared to us upon onboarding or formally thereafter is prohibited. Prior to onboarding and enabling any such parties to use our Programmes, their complete name, location, and other required information must be provided to us via the “Lost/Stolen Cardsrelevant product application form(s), Incorrectly Executed Transactions or through our other approved channels. Our Programmes will only be permitted for use for entities and Misuse of Your Account” section of individuals approved by us and are only authorized for use in eligible jurisdictions. We may terminate this AgreementAgreement or cancel any Card, you will be responsible for the Master Account or any prohibited Account immediately where we suspect any unauthorised use of your Account even if we did not prevent or stop the prohibited use, unless otherwise provided by lawany International Currency Card Programmes as described in this section.
