Project Compensation. The School District agrees to pay the Roofing Designer Project Compensation out of a “general pool” of shared funds up to a total amount not to exceed Two Million Four Hundred Thousand Dollars ($2,400,000.00) as compensation for the Services performed and Reimbursable Expenses incurred by the Roofing Designer under this Contract during the Initial Term of this Contract. No funds have currently been authorized for an Additional Term of this Contract. The School District reserves the option, at its sole discretion, of requesting that Roofing Designer’s work on each individual project be performed based on the percentage of construction cost method provided herein, or an hourly rates method provided herein, or a negotiated fixed fee method provided herein. The School District’s payment of Project compensation to the Roofing Designer on each individual project shall be determined by the School District, at its sole option, on one of the following compensation methods: (1) the percentage of construction cost method set forth in Paragraph 6.1.2 herein; (2) the hourly rates method set forth in Paragraph 6.1.3 herein; or (3) the negotiated fixed fee method set forth in Paragraph 6.1.4 herein. The Roofing Designer shall not have the right to decline the compensation method determined by the School District.
