Project Permits. The Project Permits required to be transferred to Purchaser as of Closing, or other Permits (other than the Purchaser’s Consents and the Required Approvals) required to be issued to Purchaser as of the Closing, in each case, under applicable Law, shall have been so transferred or issued in accordance with applicable Law, and shall be valid and binding and in full force and effect.
