Promotion of the Program. Upon your acceptance as an Affiliate Site, we will make available to you a widget and textual links (the “Links”) that, subject to the terms and conditions hereof, you may display as often and in as many areas of your site as you desire. The Links will serve to establish a connecting from your site to ours, and to identify each new home insurance policy purchased that is referred from your site using the Links (“Qualified Policy”).
Promotion of the Program. Your participation in the Program will be identified by displaying at your participating location approved signage in a manner that we may direct. If you wish to advertise your participation in the Program in any other manner, you agree to obtain our prior consent concerning the manner and content. Your affiliation in the Program will be advertised by us in a manner we deem appropriate to promote the Program.

Promotion of the Program. PrivilegeONE will actively promote and offer the Program to Dealers using the PrivilegeONE NetworksSM or other marketing methods approved by Fleet and PrivilegeONE. PrivilegeONE will enter into Dealer Contracts as set forth in Exhibit G. PrivilegeONE will promote the PrivilegeONE Membership Plan to Customers and other consumers ninety (90) days after the Implementation Date, in addition to promoting the Credit Card Loyalty Program that Fleet and PrivilegeONE offer pursuant to this Agreement. The initial components of the PrivilegeONE Membership Plan are set forth in Exhibit D.
Promotion of the Program. Any materials intended for use in introducing and promoting the Program to current and/or prospective new customers through any channel of communication (e.g., print, web, radio, television) that are not provided by Sonsio or [Client] for that express purpose must be submitted in advance to Sonsio for review and written approval or rejection and no representation shall be made by you which expands or alters the Program in any manner whatsoever. Approval or rejection by Sonsio shall not be unreasonably withheld.
Promotion of the Program. (i) The Companies may promote the Program during the Term and encourage the acquisition and usage of Accounts by Account Holders through promotions mutually agreed upon by the Companies and MWCC, and MWCC shall assist in planning and monitoring all such promotions. The Companies shall include actual CommerciaLine Applications/Agreements and/or information relating to the Program in its generalized and specialized brochure advertising when deemed appropriate by the Companies' management. The Companies shall be responsible for all costs and expenses of promoting the Program. (ii) The Companies and MWCC each shall obtain the prior written consent of the other party with regard to the substance and timing of any press releases issued during the Term which announce the execution of this Agreement, or the transactions specified herein, which prior approval shall not unreasonably be withheld. At all times thereafter, the Companies and MWCC, prior to issuing any press releases concerning this Agreement or the transactions specified herein, shall consult with each other concerning the proposed substance and timing of such releases and give due consideration to the comments of the other party relating thereto. The foregoing notwithstanding, it is understood that neither party shall be required to consult with the other party with regard to (A) press releases and other announcements as may be required by applicable laws or the applicable rules and regulations of any governmental agency or stock exchange and (B) publications prepared solely by and for employees of the Companies or MWCC, all of which may be issued without prior consultation with, or the prior written consent of, the other party.

  • Promotion A promotion shall mean the transfer of an employee to a higher level position of more responsibility as well as salary.

  • Duration of the Processing Personal Data will be Processed for the duration of the Agreement, subject to Section 4 of this DPA.

  • Administration of the Plan The Administrator of the Plan will be the Board of Directors, except to the extent the Board of Directors delegates its authority to the Committee, in which case the Committee shall be the Administrator. Subject to the provisions of the Plan, the Administrator is authorized to: (a) Interpret the provisions of the Plan and all Stock Rights and to make all rules and determinations which it deems necessary or advisable for the administration of the Plan; (b) Determine which Employees, directors and Consultants shall be granted Stock Rights; (c) Determine the number of Shares for which a Stock Right or Stock Rights shall be granted; provided, however, that in no event shall the aggregate grant date fair value (determined in accordance with ASC 718) of Stock Rights to be granted and any other cash compensation paid to any non-employee director in any calendar year, exceed $750,000, increased to $1,000,000 in the year in which such non-employee director initially joins the Board of Directors. (d) Specify the terms and conditions upon which a Stock Right or Stock Rights may be granted provided that no dividends or dividend equivalents shall be paid on any Stock Right prior to the vesting of the underlying Shares. (e) Amend any term or condition of any outstanding Stock Right, provided that (i) such term or condition as amended is not prohibited by the Plan and (ii) any such amendment shall not impair the rights of a Participant under any Stock Right previously granted without such Participant’s consent or in the event of death of the Participant the Participant’s Survivors. (f) Determine and make any adjustments in the Performance Goals included in any Performance-Based Awards; and (g) Adopt any sub-plans applicable to residents of any specified jurisdiction as it deems necessary or appropriate in order to comply with or take advantage of any tax or other laws applicable to the Company, any Affiliate or to Participants or to otherwise facilitate the administration of the Plan, which sub-plans may include additional restrictions or conditions applicable to Stock Rights or Shares issuable pursuant to a Stock Right; Subject to the foregoing, the interpretation and construction by the Administrator of any provisions of the Plan or of any Stock Right granted under it shall be final, unless otherwise determined by the Board of Directors, if the Administrator is the Committee. In addition, if the Administrator is the Committee, the Board of Directors may take any action under the Plan that would otherwise be the responsibility of the Committee. To the extent permitted under applicable law, the Board of Directors or the Committee may allocate all or any portion of its responsibilities and powers to any one or more of its members and may delegate all or any portion of its responsibilities and powers to any other person selected by it. The Board of Directors or the Committee may revoke any such allocation or delegation at any time. Notwithstanding the foregoing, only the Board of Directors or the Committee shall be authorized to grant a Stock Right to any director of the Company or to any “officer” of the Company as defined by Rule 16a-1 under the Exchange Act.

  • Educational Program A. DSST PUBLIC SCHOOLS shall implement and maintain the following characteristics of its educational program in addition to those identified in the Network Contract at DSST ▇▇▇▇ MIDDLE SCHOOL (“the School” within Exhibit A-3). These characteristics are subject to modification with the District’s written approval:

  • Marketing and Promotion The School will be responsible for marketing and promoting the Sports Facilities in accordance with the agreed aims and targets. A marketing strategy will be prepared and implemented and reviewed on an annual basis.
