Common use of Proof of Execution by Securityholders Clause in Contracts

Proof of Execution by Securityholders. (a) Subject to Sections 8.1, 8.2 and 10.5 hereof, proof of the execution of any instruments by a Securityholder or the agent or proxy for such Securityholder shall be sufficient if made in accordance with such reasonable rules and regulations as may be prescribed by the Trustee or in such manner as shall be satisfactory to the Trustee. The ownership of Securities shall be proved by the register for the Securities maintained by the Trustee. (b) The record of any Securityholders' meeting shall be proven in the manner provided in Section 10.6 hereof.

Proof of Execution by Securityholders. (a) Subject to the provisions of Sections 8.18.01, 8.2 8.02 and 10.5 hereof10.05, proof of the execution of any instruments by a Securityholder or the his agent or proxy for such Securityholder shall be sufficient if made in accordance with such reasonable rules and regulations as may be prescribed by the Trustee or in such manner as shall be satisfactory to the Trustee. The ownership of Securities shall be proved by the register for registry books of the Securities maintained Corporation or by a certificate of the Trustee. (b) Security registrar. The record of any Securityholders' ’ meeting shall be proven proved in the manner provided in Section 10.6 hereof10.06.

The Company may require such additional proof of any matter referred to in this Section as it shall deem necessary. The record of any Securityholders' ’ meeting shall be proven proved in the manner provided in Section 10.6 hereof8.6.
