The Proper Names clause defines how specific names, such as those of parties, products, or entities, are to be interpreted and used throughout the agreement. It typically clarifies that any reference to a particular name refers consistently to the same entity or item, regardless of variations in spelling, abbreviations, or formatting. This ensures that there is no ambiguity about the identity of parties or items mentioned, thereby promoting clarity and preventing misunderstandings in the interpretation of the contract.
Proper Names. Seller does not operate in any jurisdiction under a trade name, division, division name or name other than those names previously disclosed in writing by Seller to Buyer, and all such names are utilized by Seller only in the jurisdiction(s) identified in such writing. As of the date of this Agreement, the only names used by Seller in its tax returns for the last ten (10) years are set forth in Exhibit I.
