Common use of Proper Records Clause in Contracts

Proper Records. (a) All corporate records, statutory books and registers of the Issuer, each Corporate Guarantor or each other member of the Group have been properly kept and no notice or allegation that any of them is incorrect or should be rectified has been received by the Issuer, each Corporate Guarantor or any other member of the Group. (b) All returns and particulars, resolutions and other documents which the Issuer, each Corporate Guarantor or each other member of the Group is required by law to file with or deliver to any relevant authority have been correctly made up, duly filed and/or delivered.
