Common use of Proprietary Information and Invention Assignment Agreement Clause in Contracts

Proprietary Information and Invention Assignment Agreement. If Executive is in material breach of the terms of the Proprietary Information and Invention Assignment Agreement, by and between the Company and Executive, dated as of September 20, 2004 (the “Invention Agreement”), including, without limitation, Executive’s obligations of confidentiality and of non- solicitation contained in the Invention Agreement, then upon such breach by Executive: (i) Executive shall refund to the Company all cash paid to Executive pursuant to Section 8 of this Agreement; and (ii) all severance benefits pursuant to this Agreement shall immediately cease.
