Proprietary Information and Inventions Agreements. Each current employee, officer and consultant of the Company has executed a Proprietary Information and Inventions Agreement that effectively waives any ownership rights in the invention or authorship of any Company Rights and has assigned to the Company all rights with respect thereto. No current employee, officer or consultant of the Company has excluded works or inventions made prior to his or her employment with the Company from his or her assignment of the works or inventions pursuant to such employee, officer or consultant's Non-Competition, Proprietary Information and Inventions Agreement in the form attached hereto as EXHIBIT E.
