Common use of Proprietary Technology Clause in Contracts

Proprietary Technology. Save and except for the technology associated with ▇▇▇▇▇▇▇▇▇▇.▇▇▇ that is and shall remain proprietary to Compte, to the extent that Compte, will expend time, effort, money to make enhancements to the Proprietary Technology, that involve the use or enhancement of the Proprietary Technology resulting in new technology, the parties hereby acknowledge that such new technology shall not extinguish or derogate from the original Proprietary Technology of Compte and that all proprietary right, title, and interest in and to the new technology and enhanced Proprietary Technology shall be the properties of Compte.
