PROTECTED AMOUNTS. In connection with the transactions consummated pursuant to that certain Contribution Agreement (the "Contribution Agreement"), dated December 9, 1997, by and between FR Acquisitions, Inc., a Maryland corporation (it having assigned its entire right, title and interest in and to the Contribution Agreement to the Partnership), and the other parties listed on the signature pages of the Contribution Agreement, certain Protected Amounts are being established for the Additional Limited Partners admitted pursuant to this Amendment, which Protected Amounts are reflected on Exhibit 1D attached hereto and shall be incorporated as part of Exhibit 1D of the Partnership Agreement.

PROTECTED AMOUNTS. In connection with the transactions consummated pursuant to that certain Contribution Agreement (the "CONTRIBUTION AGREEMENT"), dated October 13, 2000, by and between the Partnership and Lawr▇▇▇▇-▇▇▇▇▇▇ ▇▇▇ociates, an Illinois joint venture, certain Protected Amounts are being established for the Additional Limited Partners admitted pursuant to this Fifteenth Amendment, which Protected Amounts are reflected on EXHIBIT 1D attached hereto and shall be incorporated as part of EXHIBIT 1D of the Partnership Agreement.

PROTECTED AMOUNTS. In connection with the transactions consummated pursuant to that certain Contribution Agreement dated as of December 9, 1997, by and between FR and Thom▇▇▇▇ ▇▇▇▇ ▇▇▇perties, Inc., a Florida corporation, TRAC Design Builders, Inc., a Florida corporation, Thom▇▇▇▇ ▇▇▇ter I, Ltd., a Florida limited partnership, TR Developers, Ltd., a Florida limited partnership, Thom▇▇▇▇ ▇▇▇ Rubi▇ ▇▇▇ited, a Florida limited partnership, TRA Limited, a Florida limited partnership, Thom▇▇▇▇ ▇▇▇ter II Joint Venture, a Florida general partnership, Thom▇▇▇▇ ▇▇▇ter Adamo Limited Partnership, a Florida limited partnership, Thom▇▇▇▇-▇▇▇▇▇ ▇▇▇venture, Ltd., a Florida limited partnership, TK-SV, TK Properties, a Florida general partnership, the Principal, D.C. ▇▇▇▇▇▇▇▇, ▇▇d., a Florida limited partnership f/k/a Thom▇▇▇▇ ▇▇▇▇▇ ▇▇▇ociates, a Florida general partnership, and various additional individuals and entities; as amended by that certain First Amendment to Contribution Agreement (as amended, the "CONTRIBUTION AGREEMENT"); and certain Protected Amounts are being established for the Additional Limited Partners admitted pursuant to this Amendment, which Protected Amounts are reflected on EXHIBIT 1D attached hereto and shall be incorporated as part of EXHIBIT 1D of the Partnership Agreement.

PROTECTED AMOUNTS. In connection with the transactions consummated pursuant to that certain Contribution Agreement (the "CONTRIBUTION AGREEMENT"), dated as of December 13, 2000, by and between the Partnership and Ralp▇ ▇. ▇▇▇▇▇▇▇, ▇▇ Trustee under Revocable Trust Agreement dated September 27, 1989, a certain Protected Amount is being established for the Additional Limited Partner admitted pursuant to this Seventeenth Amendment, which Protected Amounts is reflected on EXHIBIT 1D attached hereto and shall be incorporated as part of EXHIBIT 1D of the Partnership Agreement.

PROTECTED AMOUNTS. In connection with the transactions consummated pursuant to that certain Contribution Agreement (the "CONTRIBUTION AGREEMENT"), dated October 27, 2000, by and between the Partnership and Care▇ ▇▇▇poration, a Pennsylvania corporation, a certain Protected Amount is being established for the Additional Limited Partner admitted pursuant to this Sixteenth Amendment, which Protected Amounts is reflected on EXHIBIT 1D attached hereto and shall be incorporated as part of EXHIBIT 1D of the Partnership Agreement.

PROTECTED AMOUNTS. In connection with the transactions consummated pursuant to that certain Contribution Agreement (the "CONTRIBUTION AGREEMENT"), dated as of June 26, 2002, by and between the Partnership and First & Broadway Limited Partnership, a Missouri Partnership, certain Protected Amounts are being established for the Additional Limited Partner, if any, admitted pursuant to this Nineteenth Amendment, which Protected Amounts are reflected on EXHIBIT 1D attached hereto and shall be incorporated as part of EXHIBIT 1D of the Partnership Agreement.

PROTECTED AMOUNTS. In connection with the transactions consummated pursuant to that certain Contribution Agreement (the "Contribution Agreement"), dated June 30, 1997, by and between FR Acquisitions, Inc., a Maryland corporation (it having assigned its entire right, title and interest in and to the Contribution Agreement to the Partnership), and the other parties listed on the signature pages of the Contribution Agreement, certain Protected Amounts are being established for the Additional Limited Partners admitted pursuant to this Tenth Amendment, which Protected Amounts are reflected on Exhibit 1D attached hereto and shall be incorporated as part of Exhibit 1D of the Partnership Agreement. Any Protected Amounts established prior to the date hereof for the Additional Limited Partners admitted pursuant to this Tenth Amendment are hereby deleted and shall be replaced by the Protected Amounts established for such Additional Limited Partners pursuant to this Tenth Amendment as reflected on Exhibit 1D attached hereto. 4.

PROTECTED AMOUNTS. In connection with the transactions consummated pursuant to that certain Contribution Agreement (the "CONTRIBUTION AGREEMENT"), dated as of January 24, 2001, by and between the Partnership and Jacob Family Trust, an irrevocable trust formed pursuant to a Trust Agreement dated October 1, 1992, a certain Protected Amount is being established for the Additional Limited Partner admitted pursuant to this Eighteenth Amendment, which Protected Amounts is reflected on EXHIBIT 1D attached hereto and shall be incorporated as part of EXHIBIT 1D of the Partnership Agreement.
