Common use of Protection of Subscription Receipt Agent Clause in Contracts

Protection of Subscription Receipt Agent. The Subscription Receipt Agent: (1) shall not at any time be under any duty or responsibility to any Subscription Receiptholder to determine whether any facts exist which may require any adjustment contemplated by Section 7.1 hereof, or with respect to the nature or extent of any such adjustment when made or the method employed in making such adjustment; (2) shall not be accountable with respect to the validity or value (or the kind or amount) of any Underlying Shares or other securities or property which may at any time be issued or delivered upon the exercise of the rights attaching to any Subscription Receipt; (3) shall not be responsible for any failure of the Corporation to issue, transfer or deliver Underlying Shares or certificates representing Underlying Shares or to comply with any of the covenants contained in this Article 7; (4) shall not incur any liability or responsibility whatsoever or be in any way responsible for the consequences of any breach on the part of the Corporation of any of the representations, warranties or covenants herein contained or for any acts of the agents of the Corporation; and (5) shall be entitled to act and rely upon the certificates of the Corporation or of the auditor of the Corporation and any other documents filed by the Corporation pursuant to Section 7.4 hereof.

Protection of Subscription Receipt Agent. The Subscription Receipt Agent: (1) shall not at any time be under any duty or responsibility to any Subscription Receiptholder to determine whether any facts exist which may require any adjustment contemplated by Section 7.1 hereof, or with respect to the nature or extent of any such adjustment when made or the method employed in making such adjustment; (2) shall not be accountable with respect to the validity or value (or the kind or amount) of any Underlying Shares or other securities or property which may at any time be issued or delivered upon the exercise of the rights attaching to any Subscription Receipt; (3) shall not be responsible for any failure of the Corporation to issue, transfer or deliver Underlying Shares or certificates representing Underlying Shares or to comply with any of the covenants contained in this Article 7; (4) shall not incur any liability or responsibility whatsoever or be in any way responsible for the consequences of any breach on the part of the Corporation of any of the representations, warranties or covenants herein contained or for any acts of the agents of the Corporation; and (5) shall be entitled to act and rely upon the certificates Certificate of the Corporation or of the any certificate auditor of the Corporation and any other documents filed by the Corporation pursuant to Section 7.4 hereof.

Protection of Subscription Receipt Agent. The Subscription Receipt Agent: (1a) shall not at any time be under any duty or responsibility to any Subscription Receiptholder to determine whether any facts exist which may require any adjustment contemplated by Section 7.1 hereof8.1, or with respect to the nature or extent of any such adjustment when made or the method employed in making such adjustment; (2b) shall not be accountable with respect to the validity or value (or the kind or amount) of any Underlying Unit Shares and Warrants or other shares or other securities or property which may at any time be issued or delivered upon the exercise of the rights attaching to any Subscription Receipt; (3c) shall not be responsible for any failure of the Corporation Company to issue, transfer or deliver Underlying Unit Shares and Warrants or certificates representing Underlying Unit Shares and Warrants or to comply with any of the covenants contained in this Article 78; (4d) shall not incur any liability or responsibility whatsoever or be in any way responsible for the consequences of any breach on the part of the Corporation Company of any of the representations, warranties or covenants herein contained or for any acts of the agents of the CorporationCompany; and (5e) shall be entitled to act and rely upon the certificates of the Corporation Company or of the auditor of the Corporation Company and any other documents filed by the Corporation Company pursuant to Section 7.4 hereof8.6.

Protection of Subscription Receipt Agent. The Subscription Receipt Agent: (1a) shall not at any time be under any duty or responsibility to any Subscription the Receiptholder to determine whether any facts exist which may require any adjustment contemplated by Section 7.1 hereof8.2, or with respect to the nature or extent of any such adjustment when made or the method employed in making such adjustment; (2b) shall not be accountable with respect to the validity or value (or the kind or amount) of any Underlying Shares Securities or other shares or other securities or property which may at any time be issued or delivered upon the exercise of the rights attaching to any Subscription Receipt; (3c) shall not be responsible for any failure of the Corporation to issue, transfer or deliver Underlying Shares Securities or certificates representing Underlying Shares Securities or to comply with any of the covenants contained in this Article 78; (4d) shall not incur any liability or responsibility whatsoever or be in any way responsible for the consequences of any breach on the part of the Corporation of any of the representations, warranties or covenants herein contained or for of any acts of the agents of the Corporation; and (5) and shall be entitled to act and rely upon the certificates of the Corporation or of the auditor of the Corporation and any other documents filed by the Corporation pursuant to Section 7.4 hereof8.7.

Protection of Subscription Receipt Agent. The Subscription Receipt AgentAgent shall not: (1a) shall not at any time be under any duty or responsibility to any Subscription Receiptholder to determine whether any facts exist which may require any adjustment contemplated by Section 7.1 hereofthis Article IV, or with respect to the nature or extent of any such adjustment when made made, or with respect to the method employed in making such adjustmentthe same; (2b) shall not be accountable with respect to the validity or value (or the kind or amount) of any Underlying Variable Voting Shares or of any shares or other securities or property which may at any time be issued or delivered upon the exercise exchange of the rights attaching to any Subscription Receipt; (3c) shall not be responsible for any failure of the Corporation to issue, transfer issue or deliver Underlying Variable Voting Shares or certificates representing Underlying Shares for the same upon the surrender of any Subscription Receipts for the purpose of the exchange of such receipts or to comply with any of the covenants contained in this Article 7;Article; or (4d) shall not incur any liability or responsibility whatsoever or be in any way responsible for the consequences of any breach on the part of the Corporation of any of the representations, warranties or covenants herein contained or for of any acts of the directors, officers, employees, agents or servants of the Corporation; and (5) shall be entitled to act and rely upon the certificates of the Corporation or of the auditor of the Corporation and any other documents filed by the Corporation pursuant to Section 7.4 hereof.

Protection of Subscription Receipt Agent. The Subject to the provisions of Article 11, the Subscription Receipt Agent: (1a) shall not at any time be under any duty or responsibility to any Subscription Receiptholder to determine whether any facts exist which may require any adjustment contemplated by Section 7.1 hereofwhen made pursuant to Article 7, or with respect to the nature or extent of any such adjustment when made or the method employed in making such adjustmentthe same; (2b) shall not be accountable with respect to the validity or value (or the kind or amount) of any Underlying Subscription Shares or Warrants or of any shares or other securities or property which may at any time be issued or delivered upon the exercise conversion of the rights attaching to any Subscription ReceiptReceipts; (3c) shall not be responsible for any failure of the Corporation to make any cash payment or to issue, transfer or deliver Underlying Subscription Shares or Warrants or certificates representing Underlying Shares for the same upon the surrender of any Subscription Receipts for the purpose of the exercise of such rights or to comply with any of the covenants contained in this Article 7; (4d) shall not incur any liability or responsibility whatsoever whatever or be in any way responsible for the consequences consequence of any breach on the part of the Corporation of any of the representations, warranties or covenants herein contained or for of any acts of the agents or servants of the Corporation; and (5e) shall be entitled to act and rely upon the certificates on any adjustment calculation of the Corporation Directors or of the auditor of Corporation’s Auditors including any certificates provided to the Corporation and any other documents filed by the Corporation Subscription Receipt Agent pursuant to Section 7.4 hereof7.5.

Protection of Subscription Receipt Agent. The Except as provided in Section 10.1, the Subscription Receipt Agent: (1a) shall not at any time be under any duty or responsibility to any Subscription Receiptholder to determine whether any facts exist which may require any adjustment contemplated by Section 7.1 hereof5.1, or with respect to the nature or extent of any such adjustment when made made, or with respect to the method employed in making such adjustmentthe same; (2b) shall not be accountable with respect to the validity or value (or the kind or amount) of any Underlying Class B Subordinate Voting Shares or of any shares or other securities or property which may at any time be issued or delivered upon pursuant to the exercise terms of the rights attaching to any Subscription Receipt; (3c) shall not be responsible for any failure of the Corporation to make any payment or to issue, transfer or deliver Underlying Class B Subordinate Voting Shares or certificates representing Underlying Class B Subordinate Voting Shares upon the surrender of any Subscription Receipts for the purpose of the issuance of Class B Subordinate Voting Shares pursuant to their terms or to comply with any of the covenants contained in this Article 7;5; and (4d) shall not incur any liability or responsibility whatsoever or be in any way responsible for the consequences of any breach on the part of the Corporation of any of the representations, warranties or covenants herein contained or for of any acts of the agents or servants of the Corporation; and (5) shall be entitled to act and rely upon the certificates of the Corporation or of the auditor of the Corporation and any other documents filed by the Corporation pursuant to Section 7.4 hereof.

Protection of Subscription Receipt Agent. The Subscription Receipt Agent: (1a) shall not at any time be under any duty or responsibility to any Subscription Receiptholder to determine whether any facts exist which may require any adjustment contemplated by Section 7.1 hereof7.2, or with respect to the nature or extent of any such adjustment when made or the method employed in making such adjustment; (2b) shall not be accountable with respect to the validity or value (or the kind or amount) of any Underlying Shares Securities or other securities or property which may at any time be issued or delivered upon the exercise of the rights attaching to any Subscription Receipt; (3c) shall not be responsible for any failure of the Corporation to issue, transfer or deliver Underlying Shares Securities or certificates representing Underlying Shares Securities or to comply with any of the covenants contained in this Article 7; (4d) shall not incur any liability or responsibility whatsoever or be in any way responsible for the consequences of any breach on the part of the Corporation of any of the representations, warranties or covenants herein contained or for any acts of the agents of the Corporation; and (5) and shall be entitled to act and rely upon the certificates of the Corporation or of the auditor of the Corporation and any other documents filed by the Corporation pursuant to Section 7.4 hereof7.7.

Protection of Subscription Receipt Agent. ‌ The Subscription Receipt Agent: (1a) shall not at any time be under any duty or responsibility to any Flow-Through Unit Subscription Receiptholder to determine whether any facts exist which may require any adjustment contemplated by Section 7.1 hereof7.2, or with respect to the nature or extent of any such adjustment when made or the method employed in making such adjustment; (2b) shall not be accountable with respect to the validity or value (or the kind or amount) of any Underlying FT Unit Shares or Warrants or other shares or other securities or property which may at any time be issued or delivered upon the exercise of the rights attaching to any Flow- Through Unit Subscription Receipt; (3c) shall not be responsible for any failure of the Corporation to issue, transfer or deliver Underlying FT Unit Shares or Warrants or certificates representing Underlying FT Unit Shares or Warrants or to comply with any of the covenants contained in this Article 7; (4d) shall not incur any liability or responsibility whatsoever or be in any way responsible for the consequences of any breach on the part of the Corporation of any of the representations, warranties or covenants herein contained or for of any acts of the agents of the Corporation; and (5) and shall be entitled to act and rely upon the certificates of the Corporation or of the auditor of the Corporation and any other documents filed by the Corporation pursuant to Section 7.4 hereof7.7.

The Except as provided in Section 10.1, the Subscription Receipt Agent: (1a) shall not at any time be under any duty or responsibility to any Subscription Receiptholder to determine whether any facts exist which may require any adjustment contemplated by Section 7.1 hereof5.1, or with respect to the nature or extent of any such adjustment when made made, or with respect to the method employed in making such adjustmentthe same; (2b) shall not be accountable with respect to the validity or value (or the kind or amount) of any Underlying Common Shares or of any shares or other securities or property which may at any time be issued or delivered upon pursuant to the exercise terms of the rights attaching to any Subscription Receipt; (3c) shall not be responsible for any failure of the Corporation to make any payment or to issue, transfer or deliver Underlying Common Shares or certificates representing Underlying Common Shares upon the surrender of any Subscription Receipts for the purpose of the issuance of Common Shares pursuant to their terms or to comply with any of the covenants contained in this Article 7;5; and (4d) shall not incur any liability or responsibility whatsoever or be in any way responsible for the consequences of any breach on the part of the Corporation of any of the representations, warranties or covenants herein contained or for of any acts of the agents or servants of the Corporation; and (5) shall be entitled to act and rely upon the certificates of the Corporation or of the auditor of the Corporation and any other documents filed by the Corporation pursuant to Section 7.4 hereof.

The Subscription Receipt Agent: (1a) shall not at any time be under any duty or responsibility to any Subscription Receiptholder to determine whether any facts exist which may require any adjustment contemplated by Section 7.1 hereofthis Article 5, or with respect to the nature or extent of any such adjustment when made made, or with respect to the method employed in making such adjustmentthe same; (2b) shall not be accountable with respect to the validity or value (or the kind or amount) of any Underlying Common Shares or any shares or other securities or property which may at any time be issued or delivered upon the exercise of the rights attaching to any Subscription Receipt; (3c) shall not be responsible for any failure of the Corporation Company to issue, transfer or deliver Underlying Common Shares or certificates representing Underlying Shares for the same upon the surrender of any Subscription Receipt Certificates for the purpose of the exercise of such rights or to comply with any of the covenants contained in this Article 75; (4d) shall not incur any liability or responsibility whatsoever or be in any way responsible for the consequences of any breach on the part of the Corporation Company of any of the representations, warranties or covenants herein contained or for of any acts of the directors, officers, employees, agents or servants of the CorporationCompany; and (5e) shall be entitled to act and rely upon the certificates or adjustment calculations of the Corporation or of Company and the auditor of the Corporation Company and any other documents filed by the Corporation Company pursuant to Section 7.4 hereof5.4, without verification or liability.

Protection of Subscription Receipt Agent. The Subscription Receipt Agent: (1a) shall not at any time be under any duty or responsibility to any Subscription Receiptholder to determine whether any facts exist which may require any adjustment contemplated by Section 7.1 hereof7.1, or with respect to the nature or extent of any such adjustment when made or the method employed in making such adjustment; (2b) shall not be accountable with respect to the validity or value (or the kind or amount) of any Underlying Shares Special Warrants or other shares or other securities or property which may at any time be issued or delivered upon the exercise of the rights attaching to any Subscription Receipt; (3c) shall not be responsible for any failure of the Corporation to issue, transfer or deliver Underlying Shares Special Warrants or certificates representing Underlying Shares Special Warrants or to comply with any of the covenants contained in this Article 7; (4d) shall not incur any liability or responsibility whatsoever or be in any way responsible for the consequences of any breach on the part of the Corporation of any of the representations, warranties or covenants herein contained or for of any acts of the agents of the Corporation; and (5) and shall be entitled to act and rely upon the certificates of the Corporation or of the auditor of the Corporation and any other documents filed by the Corporation pursuant to Section 7.4 hereof7.6.
