Common use of Provincial Representations Clause in Contracts

Provincial Representations. The Province represents and warrants to the shíshálh Nation and kwikwil, with the intent and understanding that they will be relied on by shíshálh Nation and kwikwil in entering into this Agreement, that: a) it has the legal power, capacity and authority to enter into this Agreement; b) on satisfaction or waiver of the conditions precedent under 5.1 and 5.2, it will have the legal power, capacity and authority to transfer the fee simple title to the Lands to shíshálh Nation or kwikwil as contemplated by this Agreement; and c) this Agreement has been duly authorized, executed and delivered by the Province.
