PROVISION OF CONTRACTED SERVICES. F.3.1. The Contractor shall to provide the Contracted Services as set out in Appendix F1 to MIMOS in accordance with the terms of this SCHEDULE F. F.3.2. The Contractor shall not sub-contract or appoint any agent in respect of the whole or any part of the work under this Contract unless written approval is obtained from MIMOS. MIMOS shall be entitled to impose such further terms and conditions as it thinks fit for approving to the sub-contracting or appointment of agent. F.3.3. Notwithstanding any approval given pursuant to Clause F.3.2, MIMOS shall be entitled to withdraw its approval and request for a change in the sub-contractor or agent if it finds the sub-contractor or agent to be not satisfactory at its sole discretion. The Contractor shall comply with such request and change the subcontractor/agent or undertake the work itself. F.3.4. The Contractor shall not be relieved of any of its liabilities or obligations under this Contract by entering into the sub-contracts or agency arrangements referred to in Clause F.3.2 and the Contractor shall remain, in accordance with this Contract, fully liable to MIMOS for the acts, omissions, defaults and neglects of any sub-contractor, agent or any employee of the sub-contractor or agent as fully as if they were the acts, omissions, defaults and neglects of the Contractor or the employees of the Contractor.

PROVISION OF CONTRACTED SERVICES a) The Township engages the Contractor, and the Contractor accepts such engagement, for the furnishing of the Contract Services upon the terms and conditions contained herein, during the term of this Agreement. b) The Contractor is required to provide, at their own expense, all and every kind of labour, vehicles, tools, equipment, articles and things necessary for the due execution of the work set out or referred to in the specifications c) The Contractor agrees that during the term of this Agreement, they shall perform the Contract Services herein described in such a manner as to maximize the diversion of recyclable materials that would otherwise be directed to the Township's landfill site. d) The Contractor shall collect solid waste from Wingham, ▇▇▇▇▇▇ Heights, ▇▇▇▇▇▇▇▇ Subdivision in Belgrave and Blyth (including 140 commercial units) weekly. East Wawanosh and North Huron residences within Whitechurch and Auburn will be collected every other week. Waste to be deposited at the Township’s Landfill site. e) The Contractor shall collect bluebox recyclables from Wingham, ▇▇▇▇▇▇ Heights, Belgrave, Blyth, East Wawanosh, Whitechurch and Auburn every other week. Recycling to be processed at the proponents MRF in Mount Forest.

Collaborating with Public Works for the removal of the sewer and water services to property line. J. Assembling, parking and storing materials only in the designated site and maintaining a reasonably clean site; K. Ensuring pedestrian safety from construction activities on routes used by pedestrians adjacent to the designated site L. Minimize offensive odours and dust M. Complete all demolition/remediation of the site N. Comply with all necessary safety regulations for OH&SA and COVID-19.

  • Contracted Services In a fixed price contract, if the number of services provided is less than the number of services for which the Contractor received compensation, funds to be returned to the ADHS shall be determined by the Contract price. Where the price is determined by cost per unit of service or material, the funds to be returned shall be determined by multiplying the unit of service cost by the number of services the Contractor did not provide during the Contract term. Where the price for a deliverable is fixed, but the deliverable has not been completed, the Contractor shall be paid a pro rata portion of the completed deliverable. In a cost reimbursement contract, the ADHS shall pay for any costs that the Contractor can document as having been paid by the Contractor and approved by ADHS. In addition, the Contractor will be paid its reasonable actual costs for work in progress as determined by Generally Accepted Accounting Procedures up to the date of contract termination.

  • Provision of Access Subject to the terms of this Agreement, Flock hereby grants to Agency a non-exclusive, non-transferable right to access the features and functions of the Services via the Web Interface during the Service Term (as defined in Section 6.1 below), solely for the Authorized End Users. The Footage will be available for Agency ’s designated administrator, listed on the order form, and any Authorized End Users to access via the Web Interface for thirty (30) days. Authorized End Users will be required to sign up for an account and select a password and username (“User ID”). Flock will also provide Agency with the Documentation to be used in accessing and using the Services. Agency shall be responsible for all acts and omissions of Authorized End Users, and any act or omission by an Authorized End User which, if undertaken by Agency, would constitute a breach of this Agreement, shall be deemed a breach of this Agreement by Agency. Agency shall undertake reasonable efforts to make all Authorized End Users aware of the provisions of this Agreement as applicable to such Authorized End User’s use of the Services, and shall cause Authorized End Users to comply with such provisions. Flock may use the services of one or more third parties to deliver any part of the Services, including without limitation using a third party to host the Web Interface which makes the Services available to Agency and Authorized End Users. Warranties provided by said third party service providers are the agency’s sole and exclusive remedy and flock’s sole and exclusive liability with regard to such third-party services, including without limitation hosting the web interface. Agency agrees to comply with any acceptable use policies and other terms of any third-party service provider that are provided or otherwise made available to Agency from time to time.
