Provision of Software Sample Clauses

The Provision of Software clause defines the obligations and terms under which software is supplied to a party, typically by a vendor or licensor. It outlines the scope of what software will be delivered, the format or method of delivery (such as download, physical media, or cloud access), and any associated documentation or support. This clause ensures both parties are clear on what software is being provided, how and when it will be made available, and helps prevent disputes over delivery expectations or missing components.
Provision of Software. From time to time, Customer may purchase or license Software by executing a Transaction Document with AVEVA. Any additional Software purchased or licensed by Customer will be at the then-current price. AVEVA will provide the Software in accordance with the GTCs and the applicable Transaction Document.

Provision of Software. Reveal shall, during the Term, provide the Software to the Customer on and subject to the terms of this Agreement, substantially in accordance with the Documentation and with reasonable skill and care. Reveal shall use commercially reasonable endeavours to make the Software available 24 hours a day, seven days a week, except for: planned maintenance carried out during the maintenance window which will be notified to the Customer in advance; or emergency maintenance, the execution of which does not allow time for prior notice. Reveal’s obligations at paragraph 2.1 shall not apply to the extent of any non-conformance which is caused by use of the Software contrary to Reveal’s instructions, or modification or alteration of the Software by any party other than Reveal or Reveal’s duly authorised contractors or agents. If the Software does not conform with the terms of paragraph 2.1, Reveal will, at its expense, use reasonable commercial endeavours to correct any such non-conformance promptly. Such correction constitutes the Customer's sole and exclusive remedy for any breach of the undertaking set out in paragraph 2.1. Provision of Software hardware and services 4.1 In consideration for payment of the Charges, ▇▇▇: a where the Order states that the Customer is purchasing or renting Software, licenses that Software to the Customer in accordance with clause 5; b where the Order states that the Customer is purchasing Hosting Services or SaaS Services, will provide the Hosting Services or SaaS Services to the Customer in accordance with clause 6; c where the Order states that the Customer is renting ▇▇▇ Software, purchasing Hosting Services or SaaS Services or subscribing to Support Services, will provide Support in accordance with clause 7; d where the Order states that the Customer is purchasing or renting Hardware, will sell or rent that Hardware to the Customer in accordance with clause 8; and e will provide the other Services set out in the Order, in each case, in accordance with the Agreement. 4.2 ▇▇▇ must use reasonable efforts to provide the Services: a in accordance with the Agreement and New Zealand law; b exercising reasonable care, skill and diligence; and c using suitably skilled, experienced and qualified personnel. 4.3 The Customer must: a permit ▇▇▇’s personnel to have access to the Customer’s premises to provide the Services during normal business hours or at such other times as the parties agree, subject to ▇▇▇ and its personnel complying with the Customer’s security, health and safety and other applicable polices notified by the Customer to ▇▇▇; b perform all tasks, functions and responsibilities set out in an order form or quote or otherwise reasonably requested by ▇▇▇ in a timely manner, and supply sufficient suitably skilled resources and personnel for this purpose; c promptly make decisions (including approvals) and provide ▇▇▇ with all information reasonably required to provide the Services; d before using the ▇▇▇ NZTA Data Retrieval Service, sign and return to ▇▇▇ a copy of the terms of use set out in the Schedule; and e when using the ▇▇▇ NZTA Data Retrieval Service, comply with the terms of use set out in the Schedule. 4.4 SAM’s provision of the Software, Hardware and Services to the Customer is non-exclusive. Nothing in the Agreement prevents ▇▇▇ from providing the Software, Hardware or Services to any other person.

S-A shall provide all hardware, software, and equipment ("Equipment") reasonably necessary for Wink to duplicate the S-A environment, and all Equipment that is used to perform the activities in Exhibit A or in support thereof pursuant to Section 9.2 and not expected to be used by Wink for porting to devices other than those described in Exhibit A, to Wink at S-A's cost therefor, provided, that Wink shall use such Equipment only for the Development Activities or as otherwise provided for in Section 9.2. Provision of Software. 7.1 If a Product is commercial off-the-shelf software or data, or hardware that contains software or data, Helyx is granted a non-exclusive, perpetual, worldwide licence to use such software or data for its business purposes.
