PROVISIONS REGARDING CONTINUITY OR INTERRUPTION OF INTERCONNECTION OPERATIONS. 2.01 Representations as to Facilities and Equipment. IPL hereby represents that it owns and controls all the transmission, substation and metering facilities and equipment necessary to implement and carry out fully all the provisions, terms and conditions of this Agreement. Wabash Valley hereby represents that it jointly owns the transmission, substation and metering facilities and equipment necessary to this Agreement and has obtained all right, power and authority from PSI and/or IMPA that is necessary and proper for the implementation and carrying out of all transactions of the Parties contemplated by this Agreement. Wabash Valley hereby agrees that, notwithstanding anything in this Agreement to the contrary, its implementation of and compliance with the provisions, terms and conditions of this Agreement and its resultant obligations and responsibilities hereunder shall not be excused because of the nature or extent of Wabash Valley's ownership and control over the transmission, substation and metering facilities and equipment it jointly owns with PSI and IMPA.
