Proxy Solicitation. The Investors and the Company hereby acknowledge and agree that immediately following the execution hereof, the Investors will stop soliciting proxies for any purpose, including in support for the ▇▇▇▇▇▇▇▇▇ Proxy Statement, and will publicly announce that they are supporting the election of the directors nominated by the Board.
