PUBLIC RECORDS COMPLIANCE. a. IF THE CONTRACTOR HAS QUESTIONS REGARDING THE APPLICATION OF CHAPTER 119CONCESSIONAIRE agrees that, FLORIDA STATUTES, TO THE CONTRACTOR’S DUTY TO PROVIDE PUBLIC RECORDS RELATING TO THIS AGREEMENT, CONTACT THE CUSTODIAN OF PUBLIC RECORDS AT THE FOLLOWING:

The CONTRACTOR understands that by virtue of this Agreement all of its documents, records and materials of any kind, relating to the relationship created hereby, shall be open to the public for inspection in accordance with Florida law. If CONTRACTOR will extent that it may "act on behalf behalf" of the COUNTY, as provided under section 119.011(2CITY within the meaning of Section 119.0701(1)(a), Florida StatutesStatutes in providing its services under this Agreement, the CONTRACTOR, subject to the terms of section 287.058(1)(c), Florida Statutes, and any other applicable legal and equitable remedies, it shall:
1(a) Keep and maintain public records required by the COUNTY public agency to perform the service.
2(b) Upon request from the COUNTY’S public agency’s custodian of public records, provide the COUNTY public agency with a copy of the requested records or allow the records to be inspected or copied within a reasonable time at a cost that does not exceed the cost provided in this chapter or as otherwise provided by Florida law.
3(c) Ensure that public records that are exempt or confidential and exempt from public records disclosure requirements are not disclosed except as authorized by law for the duration of the contract Agreement term and following completion of the contract Agreement if the CONTRACTOR CONCESSIONAIRE does not transfer the records to the COUNTYpublic agency.
4(d) Upon completion of the contractAgreement, transfer, at no cost, to the COUNTY public agency all public records in possession of the CONTRACTOR CONCESSIONAIRE or keep and maintain public records required by the COUNTY public agency to perform the service. If the CONTRACTOR CONCESSIONAIRE transfers all public records to the COUNTY public agency upon completion of the contractAgreement, the CONTRACTOR CONCESSIONAIRE shall destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirementrequirements. If the CONTRACTOR CONCESSIONAIRE keeps and maintains public records upon completion of the contractAgreement, the CONTRACTOR CONCESSIONAIRE shall meet all applicable requirements for retaining public records. 4d) Upon completion of the contract, transfer, at no cost, to the COUNTY school district all public records in possession of the CONTRACTOR contractor or keep and maintain public records required by the COUNTY school district to perform the service. If the CONTRACTOR contractor transfers all public records to the COUNTY school district upon completion of the contract, the CONTRACTOR contractor shall destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirementrequirements. If the CONTRACTOR contractor keeps and maintains public records upon completion of the contract, the CONTRACTOR contractor shall meet all applicable requirements for retaining public records. All records stored electronically must be provided to the COUNTYschool district, upon request from the COUNTY’S school district’s custodian of public records, in a format that is compatible with the information technology systems of the county.
5) If school district. Failure of the CONTRACTOR does not comply with Contractor to abide by the terms of this provision shall be deemed a public records request, material breach of this agreement and the COUNTY shall School District of Volusia County may enforce the contract provisions terms of this provision in accordance the form of a court proceeding and shall, as a prevailing party, be entitled to reimbursement of all attorney’s fees and costs associated with that proceeding. This provision shall survive any termination or expiration of the contract.

PUBLIC RECORDS COMPLIANCE. a. A. IF THE CONTRACTOR FIRM HAS QUESTIONS REGARDING THE APPLICATION OF CHAPTER 119, FLORIDA STATUTES, TO THE CONTRACTOR’S ITS DUTY TO PROVIDE PUBLIC RECORDS RELATING TO THIS AGREEMENT, CONTACT THE COUNTY’S CUSTODIAN OF PUBLIC RECORDS AT THE FOLLOWINGAT:
b. The CONTRACTOR understands that by virtue of this Agreement all of its documentsB. FIRM shall comply with public records laws, records and materials of any kind, relating to the relationship created hereby, shall be open to the public for inspection in accordance with Florida law. If CONTRACTOR will act on behalf of the COUNTY, as provided under section 119.011(2), Florida Statutes, the CONTRACTOR, subject to the terms of section 287.058(1)(c), Florida Statutes, and any other applicable legal and equitable remedies, shall:
1) specifically: • Keep and maintain public records required by the COUNTY to perform the service.
2) Work; • Upon request from the COUNTY’S 's custodian of public records, provide the COUNTY with a copy of the requested records or allow the records to be inspected or copied within a reasonable time at a cost that does not exceed the cost provided in Chapter 119, Florida Statutes, or as otherwise provided by Florida law.
3) ; • Ensure that public records that are exempt or confidential and exempt from public records disclosure requirements are not disclosed except as authorized by law for the duration of the contract term Term and following completion of the contract this Agreement if the CONTRACTOR FIRM does not transfer the records to the COUNTY.
4) ; and, • Upon completion of the contractthis Agreement, transfer, at no cost, to the COUNTY COUNTY, all public records in possession of the CONTRACTOR FIRM or keep and maintain public records required by the COUNTY to perform the serviceWork. If the CONTRACTOR FIRM transfers all public records to the COUNTY upon completion of the contractthis Agreement, the CONTRACTOR FIRM shall destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirementrequirements. If the CONTRACTOR FIRM keeps and maintains public records upon the completion of the contractthis Agreement, the CONTRACTOR FIRM shall meet all applicable requirements for retaining public records. If FIRM fails to provide the CONTRACTOR does not comply with a public records requestto COUNTY within a reasonable time, the COUNTY shall enforce the contract provisions in accordance with the contractFIRM may be subject to penalties under Section 119.10 Florida Statutes and may be subject to unilateral cancellation of this Agreement by COUNTY.

A. This Agreement shall begin on October 1, 2023 at 12:01 a.m. and end on September 2024, at midnight.
B. This Agreement may be terminated with or without cause, by either party at any time, upon no less than thirty (30) days' notice in writing to the other party. C. Any alterations. variations, modification and/or waivers of provisions or this Agreement shall be valid only when they have been reduced to writing. duly signed by all parties to the agreement, and attached to the original agreement.
D. This Agreement contains all terms and conditions agreed upon by the parties. No other agreements, oral or otherwise regarding the subject matter of this Agreement shall be deemed to exist or to bind any of the parties hereto.
E. No assignment, delegation, transfer, or novation of this Agreement or any part hereof may be made unless in accordance with the contractwriting and signed by both Parties.
