Purchase and Sale of the Properties. Subject to the terms and conditions of this Agreement, the Sellers shall sell, assign, transfer and convey to Buyer, and Buyer shall purchase and pay for, all of the Sellers’ rights, titles, interests and benefits in and to the following described assets (hereinafter collectively referred to as the “Properties”) including Sellers’ natural gas and condensate gathering and processing facilities located in the County of Panola in the State of Texas as hereinafter described (the “System”):
