Common use of Purchase and Sale Termination Date Clause in Contracts

Purchase and Sale Termination Date. The “Purchase and Sale Termination Date” shall mean with respect to a Transferor, the earlier to occur of (a) the date the Purchase Facility is terminated (or deemed terminated) with respect to such Transferor pursuant to Section 8.2 and (b) the Payment Date immediately following the day on which such Transferor, if such Transferor is an Originator, shall have given written notice to the Company, the Administrator and each Purchaser Agent at or prior to 10:00 a.m. (New York City time) that such Transferor desires to terminate the Purchase Facility with respect to such Transferor and terminate its rights, obligations and liabilities under this Agreement (other than those which expressly survive termination of this Agreement).
