Common use of Purchase Decision Clause in Contracts

Purchase Decision. Each Sheffield Owner acknowledges that it has, independently and without reliance upon the Purchaser’s Agent, any other Sheffield Owner or any of their respective Affiliates, and based on such documents and information as it has deemed appropriate, made its own evaluation and decision to enter into this Subclass A-1 Note Purchase Agreement and to purchase an interest in the Subclass A-1 Note. Each Sheffield Owner also acknowledges that it will, independently and without reliance upon the Purchaser’s Agent, any other Sheffield Owner or any of their respective Affiliates, and based on such documents and information as it shall deem appropriate at the time, continue to make its own decisions in taking or not taking action under this Subclass A-1 Note Purchase Agreement or any related agreement, instrument or other document.

Each Sheffield Owner also acknowledges that it will, independently and without reliance upon the Purchaser’s Agent, any other Sheffield Owner or any of their respective Affiliates, and based on such documents and information as it shall deem appropriate at the time, continue to make its own decisions in taking or not taking action under this Subclass A-1 Class A Note Purchase Agreement or any related agreement, instrument or other document.
