Common use of Purchase of Common Stock and Warrants Clause in Contracts

Purchase of Common Stock and Warrants. On the Closing Date, the Subscriber will purchase the Common Stock and Warrants as principal for its own account and not with a view to any distribution thereof. For so long as any of the Shares and/or Warrant Shares are held by Subscriber or Subscriber’s Affiliates (as defined below), Subscriber or its Affiliates will not cause any person or entity, directly or indirectly to engage in “short sales” of the Company’s Common Stock.
