Common use of Purchase of the Notes by the Initial Purchasers Clause in Contracts

Purchase of the Notes by the Initial Purchasers. (a) On the basis of the representations and warranties herein contained, and subject to the terms and conditions hereinafter set forth, the Company agrees to sell to the Initial Purchasers and the Initial Purchasers, severally and not jointly, agree to purchase from the Company, at a purchase price of 97.50% of the principal amount of Notes, the respective principal amount of Notes set forth opposite the name of each such Initial Purchaser in Schedule I hereto. (b) The Company shall not be obligated to deliver any of the Notes, except upon payment for all of the Notes to be purchased as hereinafter provided.

(b) The Company shall not be obligated to deliver any of the Notes, except upon payment for all of the Notes to be purchased as hereinafter provided.
