PURCHASE PRICE OF COMMON SHARES. The purchase price for Common Shares being purchased and sold pursuant to Article 6 shall be equal to the fair market value of all the Common Shares as determined by the Valuator, divided by the number of issued and outstanding Common Shares as of the date of the occurrence of the event giving rise to the purchase and sale of such shares and multiplied by the number of such shares being purchased and sold.
