Purchase Price Payment Terms. 3.1 In consideration of the sale by the Seller of the Sale Shares to the Purchaser, the Purchaser shall pay the Purchase Price to the Seller in cash, in one instalment and in same day funds. To this effect, the Purchaser shall procure that the Purchase Price will be credited through the Purchaser’s Broker to the Seller’s Account on the Settlement Date in accordance with Article 5. 3.2 The Parties agree that the dividend corresponding to the Sale Shares for the Company’s financial year ended on 31 December 2007, which will become payable during 2008, will be for the benefit of the Seller, if the record date for determining the shareholders of OTE who are entitled to such dividend falls after the Completion Date, and the Purchaser hereby assigns to the Seller the right to collect such dividend from OTE. In the event that, for any reason, the Purchaser, instead of the Seller, receives such dividend, the Purchaser will have the obligation to pay it to the Seller by procuring that the relevant amount will be deposited to the Seller’s Account or as otherwise instructed in writing by the Seller.
